A written contract will usually be made to further specify the rights and obligations of both parties for legal purposes. A contract is not only an important part of business, but also us
6、eful in providing for a common understanding between buyer and seller, thus minimizing disputes. When a dispute does occur, the contract can help provide for a fair settlement.,New Lecture In international t,Therefore, the importance of a contract in an international sales transaction cannot be unde
7、restimated. Often it is the only document between the parties to which they may refer for clarification of mutual responsibilities, resolution of disputes, in the event of disagreement. Any party who fails to fulfill his obligations will have to make compensation for the other partys losses. As far
8、as the contents are concerned, contracts in international trade may fall into a great variety of categories, such as shipping contract, purchasing contract, agency contract, contract for export of labor force, compensation trade contract, etc. In this unit, we will mainly discuss the sales contract.

10、er and seller covering the sale and delivery of goods, securities, and personal property other than goods or securities. International sales contracts fall under the United Nations Convention on Contracts for the International Sales of Goods (CISG), also known as the Vienna Sales Convention.,Definit
11、ion of International Sa,International sales contract is drafted to accommodate traders who deal directly with each other. The bargaining sessions cover such items as prices as affected by market forces, risk factors, and terms relating to security of payment. The final agreements represent the priva
12、te law of a private transaction. In contrast to the usual domestic transaction, performance of international agreement involves greater distances and longer periods of time before the goods are delivered and payment is required. And, as we have seen, international transactions carry the following un
13、ique risks: more than one currency, system of governmental regulation, legal system, language, and a set of cultural expectations.,International sales contract i,The rights and duties of the buyer and seller in the international transaction vary according to the arrangements they make with respect t
14、o the place, time and method of delivery of the goods and the payment of the purchase price. Despite the distance and the time factors and the additional international risks, most of the problems center on performance and the placement of risks. Traders operating in a domestic setting often enter in
15、to contingencies that may occur.
