The relevant words in this agreement shall have the same meanings as those respectively defined in the general terms of the contract as part II of this contract.本协议书中有关词语含义本合同第二部分合同通用条款中分别赋予它们的定义相同。8. The contractor promises to the employer that he shall carry out and complete all of the construct
12、ion works in accordance with the contractual provisions hereunder, and will undertake the responsibility of quality warranty for the project within the quality warranty period.承包人向发包人承诺按照合同约定进行施工、竣工并在质量保修期内承担工程质量保修责任。9. The employer promises to the contractor that he shall pay to the contractor the
13、contract price and any other payable amounts in accordance with the payment terms and methods as agreed in the contract.发包人向承包人承诺按照合同约定的期限和方式支付合同价款及其他应当支付的款项。10. Come into effectiveness: 合同生效The precondition for the effectiveness of this contract is the following:合同生效的前提条件：The employer has obtained
14、an irrevocable and unconditional performance guarantee issued by a major Chinese Bank, under which the guaranteed value is RMB . 发包人已经获得银行签发的不可撤销及无条件履约保函，担保金额为人民币壹佰柒拾陆万元。The effective date should be the date on which the above-said precondition has been satisfied entirely.生效日应该是上述前提条件全部满足后的日期。 The C

16、ords: 词语定义The following words shall have the definition as defined in this article unless otherwise stipulated in this contract.下列词语除本合同另有约定外，应具有本条所赋予的定义：1.1 The Employer: The party as specified in the agreement which is qualified to be the project employer and is able to pay the contract price, and
17、 the legal successor to the title of the party. 发包人：指在协议书中约定，具有工程发包主体资格和支付工程价款能力的当事人以及取得该当事人资格的合法继承人。1.2 The Contractor: The party as specified in the agreement that is qualified for contracting construction project and is accepted by the Employer, and the legal successor to the title of the party.承
18、包人：指在协议书中约定，被发包人接受的具有工程施工承包主体资格的当事人以及取得该当事人资格的合法继承人。1.3 The Project Manager: The representative as appointed by the contractor to be responsible for the construction management and performance of the contract.项目经理：指承包人指定的负责施工管理和合同履行的代表。1.4 The Designer : The company entrusted by the Employer to be r
19、esponsible for the design of this Project, who has obtained the relevant qualification certificate for project design.设计单位：指发包人委托的负责本工程设计并取得相应工程设计资质等级证书的单位。1.5 The Supervisor : The company entrusted by the Employer to be responsible for the supervision of this Project, who has obtained the relevant
20、qualification certificate for project supervision.监理单位：指发包人委托的负责本工程监理并取得相应工程监理资质等级证书的单位。1.6 The Engineers: The general supervision engineer appointed by the Supervisor and the on-site representative of TKS Bauplanung GmbH (which is the designated consultant of the Employer).Their identity and author
21、ity will be specified by the Employer and the Contractor in the Particular Terms of the Contract. For the convenience of distinguishment, the general supervision engineer and his authorized representatives will individually be named as the Supervision Engineer in this Contract, while the on-site rep
22、resentative of TKS Bauplanung GmbH and his authorized representative will individually be named as the TKS Engineer in the Contract, collectively as the Engineers.工程师：指监理单位委派的总监理工程师及发包人指定的咨询单位TKS Bauplanung GmbH的驻工地代表，其具体身份和职权由发包人承包人在专用条款中予以约定。为便于区分时，总监理工程师及其授权代表在本合同中单称为“监理工程师”，TKS Bauplanung GmbH的驻
23、工地代表及其授权代表在本合同中单称为“TKS工程师”，两者合称为工程师。1.7 The Employers Representative: The person as designated by the Employer in the Agreement to carry out work on behalf of the Employer according to the Contract.发包人代表：发包人在协议书中指定的代表其根据本合同进行工作的人员。1.8 The Employers Personnel: The Employers Representative, any other
24、staff, worker and other employee of the Employer, excluding the personnel of the Supervisor.发包人人员：系指发包人代表、以及发包人的所有其他职员、工人和其他雇员，监理单位的人员除外。1.9The Project Price Governing Authority: The relevant department of the State Council, the construction administrative departments of the local government at or a
25、bove the county level or the project price governing institute as authorized by the above mentioned departments .工程造价管理部门：指国务院有关部门、县级以上人民政府建设行政主管部门或其委托的工程造价管理机构。1.10 The Project: The project within the contracting scope agreed in this agreement by the Employer and the Contractor.工程：指发包人承包人在协议书中约定的承包
26、范围的工程。1.11 The Contract Price: The amount specified in this Agreement by both Parties that the Employer shall pay to the Contractor provided that the Contractor has completed all the works within the contract scope and undertaken the responsibility of quality warranty in strict and full compliance w
27、ith the contractual provisions.合同价款：指发包人承包人在协议书中约定，发包人用以支付承包人严格及全面按照合同约定完成承包范围内全部工程并承包质量保修责任的款项。1.12 The Additional Contract Price: In case the Contract Price needs to be increased during the performance of the Contract, the increasing part calculated according to the method agreed by both Parties a
28、fter the confirmation and approval of the Employer.追加合同价款：指在合同履行中发生需要增加合同价款的情况，经发包人确认及批准后按双方同意的方法增加计算的合同价款。1.13 Expenses: The economic expenditure excluded in the Contract Price and to be born by either the Employer or by the Contractor.费用：指不包含在合同价款之内的应当由发包人或承包人承担的经济支出。 1.14 Project Period: The cont
29、racting days that are specified in the Agreement by both Parties and are calculated as per calendar days (incl. all weekends and statutory holidays).工期：指发包人承包人在协议书中约定，按总日历天数（包括所有休息日及法定节假日）计算的承包天数。1.15 The Commencement Date: The date on which the Contractor commences the construction hereunder as spe
30、cified in the agreement.开工日期：指发包人承包人在协议书中约定的承包人开始施工的日期。1.16 The Completion Date: The absolute or relative date on which the Contractor completes the works under the contract scope as specified in the agreement.竣工日期：指发包人承包人在协议书中约定，承包人完成承包范围内工程的绝对或相对的日期。1.17 The Drawings: Any and all the drawings sati
31、sfactory to the construction requirements of the Contractor (including accessorial instructions and related materials), which are presented by the Employer.图纸：指由发包人提供的，满足承包人施工需要的任何及所有图纸（包括配套说明和有关资料）。The Contractors Drawings: Any and all the drawings satisfactory to the construction requirements of t
32、he Contractor (including accessorial instructions and related materials), which are provided by the Contractor according to the requirements of the Employer and approved by the Employer.承包人图纸：指由承包人根据发包人之要求提供的并经发包人批准的，满足承包人施工需要的任何及所有图纸（包括配套说明和有关资料）1.18 The Site: The site provided by the Employer for
33、the purpose of executing the Project and any other place specified by the Employer in the Drawings for the purpose of executing the Project.施工场地：指由发包人提供的用于工程施工的场所以及发包人在图纸中具体指定的供施工使用的任何其他场所。1.19 In writing or written: The form where the contents it carries can be tangibly represented, such agreements
34、, letters and digital documents (including telegrams, telexes, facsimiles, electronic data interchange and e-mails), etc.书面形式：指协议书、信件和数据电文（包括电报、电传、传真、电子数据交换和电子邮件）等可以有形地表现所载内容的形式。1.20 Liability for breach: The liability to be taken by either Party who fails to fulfill the contractual obligations or f
35、ails to perform its contractual obligations in compliance with the agreements hereunder.违约责任：指合同一方不履行合同义务或履行合同义务不符合约定所应承担的责任。1.21 Claim: The claim against the other Party for economic compensation and/or extending the Project Period for the actual losses that are caused not due to his fault, but due
36、 to a reason attributable to the other Party during the performance of this Contract.索赔：指在合同履行过程中，对于并非自己的过错，而是应由对方承担责任的情况造成的实际损失，向对方提出经济补偿和（或）工期顺延的要求。1.22 Force Majeure: Any objective situation that is unforeseeable, unavoidable or unconquerable as defined in details in Article 37.1 of this General
37、Terms of the Contract.不可抗力：指根据本通用条件第37.1款具体界定的任何不能预见、不能避免并不能克服的客观情况。1.23 Hour or day: In the Contract, where a period is specified to be calculated by hour, the period shall be calculated from the effective commencement of the event (the break time not to be deducted); where a period is specified to
38、 be calculated by day, the day of commencement shall not be included, and the calculation shall start from the following day. Where the final day of a time limit falls on a public holiday or other statutory holidays, the day after the holiday shall be deemed to be the final day of the time limit, bu
39、t this shall not apply to the case of Completion Date. Closing time for the final day of a time limit shall be midnight 24:00.小时或天：本合同中规定按小时计算时间的，从事件有效开始时计算（不扣除休息时间）；规定按天计算时间的，开始当天不计入，从次日开始计算。时限的最后一天是休息日或者其他法定节假日的，以节假日次日为时限的最后一天，但竣工日期除外。时限的最后一天的截止时间为当日24时。2. Contract Documents and Interpretation Pri
40、ority 合同文件及解释顺序2.1 The documents of the Contract shall be taken as mutually explanatory and interpretable of one another. 44、onsistency in the Contract Documents, it shall be interpreted by the Engineers, and such interpretation shall be the final opinion when confirmed by the Employer. 当合同文件内容含糊不清或不相一致时， 应由工程师作出解释，经发包人认可后作为最后意见。3. Language and Applicable Laws, Standards and Specifications.语言文字和适用法律、标准及规范。3.1 Language 语言文
45、字The Contract Documents shall be written, explained and interpreted in Chinese and English.本合同文件使用汉语、英文语言文字书写、解释和说明。In case of discrepancy between two versions, the English version shall prevail.当中英文解释不一致时，以英文文本为准。3.2 Applicable Laws and Regulations 适用法律和法规The Contract Documents shall be governed by
46、 the Chinese laws and administrative regulations at the level of state.本合同文件适用中国国家的法律和行政法规。3.3 Applicable Standards and Specifications 适用标准、规范The Employer and the Contractor shall specify the names of the applicable national standards and specifications in the Contract; if there are no national standards and specifications but industry standards and specifications, the Parties shall specify the names of the applicable industry standards and specifications; if there are no national or i
