1、独 家 代 理 协 议Exclusive Agency Agreement 本协议于_年_月_日在_（地点）由有关双方在平等互利基础上达成，按双方同意的下列条件发展业务关系： This agreement is made and entered into by and between the parties concerned on _（Date） in _（Place） on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as

3、ulate in Article 3 from customers in the territory stipulated in Article 4,and Party B accepts and assumes such appointment. 3. 代理商品 Commodity 4. 代理区域 Territory 仅限于_（比如：广州） In _（for example: Guangzhou）only. 5. 最低业务量 Minimum turnover 乙方同意，在本协议有效期内从上述代理区域内的顾客处招揽的上述商品的订单价值不低于_人民币。 Party B shall underta
4、ke to solicit orders for the above commodity from customers in the above territory during the effective period of this agreement for not less than RMB _. 6. 价格与支付 Price and Payment 7. 独家代理权 Exclusive Right 基于本协议授予的独家代理权，甲方不得直接或间接地通过乙方以外的渠道向代理区域顾客销售或出口第三条所列商品，乙方不得在代理区域经销、分销或促销与上述商品相竞争或类似的产品，也不得招揽或接受以
5、到代理区域以外的地区销售为目的的订单，在本协议有效期内，甲方应将其收到的来自代理区域其他商家的有关代理产品的询价或订单转交给乙方。 In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity stipulated in Article 4 to customers in territory through channels other than Party B; Party B shall not
6、sell, distribute or promote the sales of any products competitive with or similar to the above commodity in territory and shall not solicit or accept orders for the purpose of selling them outside territory. Party A shall refer to Party B any enquiries or orders for the commodity in question receive
7、d by Party A from other firms in territory during the validity of this agreement. 8. 广告及费用 Advertising and Expenses 乙方负担本协议有效期内在销售区域销售代理商品做广告宣传的一切费用，并向甲方提交所用于广告的声像资料，供甲方事先核准。 Party A shall bear all expenses for advertising and publicity in connection with the commodity in question in area within the
8、 validity of this agreement, and shall submit to Party A all audio and video materials intended for advertising for prior approval. 9. 工业产权 Industrial Property Rights 在本协议有效期内，为销售有关，乙方可以使用甲方拥有的商标，并承认使用于或包含于汽车漆中的任何专利商标、版权或其他工业产权为甲方独家拥有。 一旦发现侵权，乙方应立即通知甲方并协助甲方采取措施保护甲方权益。 Party B may use the trade-marks
9、 owned by Party A for the sale of the Automobile paint covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the Automobile paint shall remain to be the sole properties of Part

Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latters rights. 10. 协议有效期 Validity of Agreement 本协议经有关双方如期签署后生效，有效期为_年，从20_年_月_日至20_年_月_日。 This agreement, when duly signed by the both parties concerned, shall remain effect for _ mo
11、nths from _（date） to _（date）. 11. 协议的终止 Termination 在本协议有效期内，如果一方被发现违背协议条款，另一方有权终止协议。 During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement. 12. 不可抗力 Force Majeure 由于水灾、火灾、地震、干旱
12、、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could
13、not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the ot
14、her party within 15 days after its occurrence.检验和收货Inspection and Acceptance在收到货物后，经销商应及时检查货物确定是否有货物短缺、瑕疵和损坏。经销商应在收到货物后 天内书面通知供应商索赔。在收到通知后 天内，供应商应调查货物短缺、瑕疵和损坏的索赔，并通知经销商结果，如确认存在货物在交付时短缺、瑕疵和损坏，供应商应予以更换。Promptly upon the receipt of a shipment of Products, Distributor shall examine the shipment to deter
15、mine whether any item or items included in the shipment are in short supply, defective or damaged. Within _ days of receipt of the shipment, Distributor shall notify Supplier in writing of any shortages, defects or damage, which Distributor claims existed at the time of delivery. Within _ days after
16、 the receipt of such notice, Supplier will investigate the claim of shortages, defects or damage, inform Distributor of its findings, and deliver to Distributor Products to replace any which Supplier determines, were in short supply, defective or damaged at the time of delivery. 13. 仲裁 Arbitration因凡
17、因本合同引起的或与本合同有关的任何争议，均应提交至甲方所在地的人民法院，按照申请仲裁时该会实施的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。 Any dispute arising from or in connection with this contract shall be submitted to court where is Party A is located, which shall be conducted in accordance with the Commissions arbitration rules in effect at the time of app

20、定，接受聘方的工作安排、业务指导、检查和评估。未经聘方同意，不得兼任与聘方无关的其他劳务。 3.按期完成工作任务，保证工作质量。 4.遵守中国的宗教政策，不从事与专家身份不符的活动。 5.遵守中国人民的道德规范和风俗习惯。 八、合同的变更、解除和终止： 1.双方应信守合同，未经双方一致同意，任何一方不得擅自更改、解除和终止合同。 2.经当事人双方协商同意后，可以变更、解除和终止合同。在未达成一致意见前，仍应当严格履行合同。 3.聘放在下述条件下，有权以书面形式通知受聘方解除合同： a 、受聘方不履行合同或者履行合同义务不符合约定条件，经聘方指出后，仍不改正的。 b 、根据医生诊断，受聘放在病假
21、连续30天不能恢复正常工作的。 4.受聘方在下述条件下，有权以书面形式通知聘方解除合同： a 、聘方未经合同约定提供受聘方必要的工作条件。 b 、聘方未按时支付受聘方报酬。 九、本合同自双方签字之日起生效，合同期满后即自行失效。当事人以方要求签订新合同，必须在本合同期满90天前向另一方提出，经双方协商同意后签订新合同。受聘方合同期满后，在华逗留期间的一切费用自理。 十、仲裁： 当事人双方发生纠纷时，尽可能通过协商或者调解解决。若协商、调解无效，可向国家外国专家局设立的外国文教专案局申请仲裁。 本合同于_ 年_ 月_ 日在_ 签订，一式两份，每份都用中文和_ 文写成，双方各执一份，两种文本同时有
