4、Supplier： (Hereinafter called “Party A”)Agent：(Hereinafter called “Party B”)Party A hereby appoints party B to act as his selling agent to sell the commodity mentioned below.2 Commodity and Quantity or amountIt is mutually agreed that Party B shall undertake to sell the aforesaid commodity in the du
5、ration of this agreement Party A supplied, which is the sample.3Territory In China only.4 Confirmation of ordersThe quantities, prices and shipment of the commodities stated in this Agreement shall be confirmed for each transaction, the particulars of which are to be specified in the Sales Confirmat
6、ion signed by the two parties hereto.5. Payment and priceThe price for each individual transaction shall be fixed by Party A. and the price which the Party B sold can be determined by itself. Party B should pay off the commodities with the price fixed between Party A and Party B every three months.A
7、fter selling the commodities, Party B shall arrange to open a confirmed, irrevocable L/C available by draft at sight in favor of Party A within the time stipulated in the relevant S/C. Party B shall also notify Party A immediately after L/C is opened, so that Party A can get prepared for delivery th
8、e next commodity.6. Expenses All expenses and disbursements including traveling、insurance and other expenses, unless especially arranged are given by Party A.7. Commission Party A shall pay to Party B commission in _ currency at the rate of _% of the net invoice selling price of products on all orde
9、r directly obtained by Party B. Such commission shall be payable every three months only after Party A receives the full amount of all payments due to Party A. Payments of such commission shall be made to agent by way of remittance. 8. Information and Report Both Party A and Party B shall quarterly
10、and/or on the request of either party furnish information and market report each other to promote the sale of products as much as possible. Party B shall give Party A shall furnish with or without charge to Party B reasonable quantity of advertising literatures catalogues, leaflets ,and the like as
11、Party B may reasonably require. 9. Sales Promotion Party B shall diligently and adequately advertise and promote the sale of Products throughout territory. Party A shall furnish with or without charge to Party B reasonable quantity of advertising literatures catalogues, leaflets, and the like as age
12、nt may reasonably require. 10. Industrial Property Rights Party B may use the trademark(s) of Party A during the effective period of this agreement only in connection with the sale of Products, provided that even after the termination of this agreement agent may use the trademark(s) in connection wi
13、th the sale of Products held by it in stock at the time of termination. Party B shall also acknowledge that any and all patents, trademarks, copyright and other industrial property rights used or embodied in Products shall remain to be sole properties of Party A and shall not dispute them in any way
14、. If any infringement being found, agent shall promptly notify Party A and assist Party A to take steps to protect its right. 11. Duration This agreement shall enter into force on the signing of both parties. The duration of this agreement shall be for 1 year. At least three months before the expira
15、tion of the term, both Party A and Party B shall consult each other for renewal of this agreement. If the renewal of this agreement is agreed upon by both parties, this agreement shall be renewed for another_ year(s) period under the terms and conditions herein set forth, with amendments, if agreed
16、upon by both parties. 12. Force Majeure Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. H
17、owever, the party affected by the event of force majeure shall inform the other party of its occurrence in writing as soon as possible and then send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence. 13. ArbitrationAll disputes arisi
18、ng from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in acco
19、rdance with its Provisional Rules of Procedure. The decision made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.15 Other Terms &Conditions (3) For any business transacted between governments
20、of both Parties, Party A may handle such direct dealings as authorized by Party As government without binding himself to this Agreement. Party B shall not interfere in such direct dealings, nor shall Party B bring forward any demand for compensation therefore.(4) This Agreement shall be subject to t
