Based on the principle of mutual benefit and common development, both parties shall sign this NDA through friendly consultations. 双方正在就 跨境支付与电子商务进行合作，需要取得对方的相关业务和技术资料，为此，甲乙双方本着互惠互利、共同发展的原则，经友好协商签订本协议。 1. In this agreement, “Confidential Information” means all c
3、onfidential, non-public or proprietary information, regardless of how the information is stored or delivered, exchanged between the parties before, on or after the date of this Agreement relating to the business, technology or other affairs of the discloser of this information or any of its affiliat

16、 or control or if requested, unless that party is required by law to retain that information or that information cannot otherwise be removed from that partys systems. 任一方将依照对方的要求，将曾使用于约定用途的，由对方提供并自己保管与控制的所有保密信息，交还给对方，未经书面认可，任何一方不得复制或留存另一方任何信息。除非该方由法律规定，必须保留该信息，或者该信息无法从该方系统中删除。 2.5 3. The undertaking
17、s referred to in Clause 2 do not apply to any information (whether part of the Confidential Information or not) that: 条款2 并不适用于以下的内容 3.1 the recipient is required to disclose by law or a stock exchange; 接收者应法律和股票交易市场的要求公开信息； 3.2 is disclosed pursuant to any law or order of any Court or other regulat

In the event that either party or any person or organisation to whom they disclose the other partys Confidential Information pursuant to this undertaking becomes legally compelled t

22、ave at law, each party may be entitled to injunctive or other equitable relief by reason of a breach hereof. Any party, who discloses the others confidential information and that causes serious consequences, should bear all the losses caused to the other party. Any party with a criminal offense, sha
23、ll be transferred to the judiciary by law. 当一方因违反本协议而给另一方带来不可挽回的损失，同时法律也没有规定合适的补救措施，双方应设法妥善解决。任何一方恶意泄露对方保密信息给对方造成严重后果或带来损失的，应承担因此给对方带来的全部损失，构成犯罪的，将移交司法机构依法追究其法律责任。 6. 7. This Agreement shall remain in full force and effect for so long as the parties continue to exchange Proprietary Information, howe
24、ver, not longer than 24 months after signature- date of this agreement. The obligation of non-disclosure or any economic non-use of the Proprietary Information shall end only after the time period of five (5) years after the aforementioned date. 本协议将在双方交换专利信息的过程中保持其全部效力，但不能超过协议签订后 的24个月。保密义务和专利信息不能用

In case of disputes due to the implementation of this agreement, this can be resolved through consultation by both parties or a third-party mediation. If the consultation or
27、 mediation fails, the dispute will be submitted to Arbitration Court of the country which party that raised issue resides, for arbitration according to the Commissions rules.
