No Admission of Liability The parties agree that this settlement is the compromise of disputed claims and is entered into in order to avoid the time and expense of litigating such claims. The parties further agree that the consideration provided above
2、 is not to be construed as an admission of any fault of liability with respect to any claim, obligation or liability released. Expenses The parties hereto shall each bear their respective expenses incurred in connection with the preparation, execution and performance of this Agreement and in the prosecution and defense of the Claim, including, without limitation, all fees and expenses of agents,
5、 representatives, counsel, accountants, and experts. 2费用 因本协议的制作、签署、执行以及对权利主张进行起诉、抗辩而发生的费用，应由本协议当事人各方自行负担。该费用包括但不限于聘用代理人、代表人、律师、会计、专家的费用。 5. Successors, Assigns; Third Party Beneficiaries This Agreement shall inure to the benefit of, and be binding upon, the parties hereto and their respective succe

Entire Agreement; Modification This Agreement constitutes the entire agreement between the parties hereto and all prior agreements between the parties with respect theret

Headings; Construction of Agreement T
8、he paragraph titles contained herein are solely for convenience and shall not be used to construe, limit or expand any rights or obligations of the parties hereto. The language used in this Agreement shall be deemed to be the language chosen by the parties hereto to express their mutual intent. This
9、 Agreement shall not be construed more strictly against one party than the other merely by virtue of the fact that it may have been drafted by counsel of its choice and each counsel was given and exercised fully his or her opportunity to review, modify and approve each and every provision hereof. 5标
10、题与协议的解释 本协议各条标题仅为使用方便，不得用以解释、限制、扩大协议当事人的权利、义务。本协议的语言应视为协议当事人各方表达各自意愿所选择的语言。不得因该协议由一方选择的律师草拟而将本协议解释得对另一方更严格。已经给各方律师充分机会，律师已充分利用了该机会，对本协议的每一条约定进行了审查、变更，并通过之。 8. Governing Law This Agreement and the rights and obligations of the parties hereunder shall be construed in accordance with and governed by th
11、e laws of the State of New Hampshire, United States of America, notwithstanding the fact that it may be executed in any other state, province or country. 6法律的适用 尽管本协议可在任何国家、省、州签署执行，但本协议及其规定的当事人的权利和义务悉受美利坚合众国新罕布舍尔州法律的管辖和解释。 9. Severability If any provision(s) hereof shall be held by an court of compe
12、tent jurisdiction to be illegal, void or unenforceable, such provisions shall be of no force and effect, but the illegality or unenforceability shall have no effect upon and shall not impair the unenforceability of any other provision of this Agreement. 7可分割性 本协议任何约定被有管辖权的法院认定不合法、无效或无强制执行效力的，该规定则不生效，但该不合法和无强制效力性不得削弱本协议其它任何条款的强制执行效力。
