3、e Tenderee , not exceeding _ (_) (hereinafter referred to as the “Maximum Amount”), immediately following the receipt of this guarantee by the Guarantor in addition to the Tenderees written demand for payment in accordance with the covenants and terms agreed upon as follows: (a) During the effective
4、 period of this guarantee, the Guarantor shall pay to the Tenderee an amount which will not exceed the Maximum Amount to an account under the Tenderee s name upon the receipt of the original of this Bidding Guarantee and a written demand from the Tenderee stating any of the following circumstances (
5、hereinafter collectively or individually referred to as the Failure to Perform ) by the Bidder : The Bidder has withdrawn its bid after the bid opening date and before the expiration of the validity period of their bid; or The Bidder has failed to enter into an agreement with the Tenderee within thi
6、rty (30) days after the receipt of the Notification of Award of Contract; or The Bidder has failed to deposit the required performance security in accordance with the Bid Invitation Documents within thirty (30) days after receipt of the Notification of Award of Contract; (b) The Tenderees written de
7、mand for payment should expressly state that the Bidder is in breach of their obligations under the Bid Invitation Documents and the particulars pertaining to the Failure to Perform, the claim amount, and the Tenderee s account number. T he written demand for payment must be duly signed by the Tende
8、ree and delivered to the Guarantor through the local bank of the Tenderee confirming that the signatures thereon are authentic and legally binding upon the Beneficiary. (c) This Guarantee can be divided into fractional claims, but the total amount claimed under the Guarantee shall not exceed the Max
9、imum Amount. (d) This Guarantee shall come into effect from _ and shall remain in full force and effect until _ (hereinafter referred to as the “Expiry Date”). Any demand for payment and all corresponding supporting documents must be received by the Guarantor by no later than 17:00 (Beijing Time) on
10、 the Expiry Date ， otherwise any obligations or liabilities under the Guarantee shall be fully and automatically discharged and released. (e) Upon the expiry date of this Guarantee , this Guarantee should be returned to the Guarantor. This Guarantee will become null and void on the Expiry Date regar
11、dless of whether it is returned to the Guarantor or not. (f) This Guarantee is neither transferable nor assignable without the prior written consent of Guarantor. (g) Under this Guarantee, the guarantor will be exempt from all obligations and liabilities in any of the following circumstances , regar
12、dless of whether this Guarantee is returned to the Guarantor: the Expiry Date of the Guarantee has passed; the Tenderee cancels the Guarantee by a written notice; t he Maximum Amount under the Guarantee has been reached via accumulation of fractional claim s ; the Guarantor receives notice from the
13、Tenderee that the Bidder has failed to win the contract; or the Guarantors obligations and liabilities are to be discharged under the stipulations of applicable laws and regulations. (h) This Guarantee is an independent guarantee and stands on its own . The validity of this Guarantee and the Guarant
14、ors obligations or liabilities hereunder shall not be affected by any provisions of the Bid Invitation Documents and other contracts ( except contracts to amend this Guarantee made by and between the Bidder and the Guarantor), regardless whether such Bid Request Documents or the terms thereof has be
15、en or quoted in this Guarantee. (i) This Guarantee is subject to the ICC Uniform Rules for Demand Guarantees (“URDG758”). (j) Any disputes in relation to this Guarantee shall be settled exclusively by the court located at the Guarantors place of business . (k) Unless otherwise provided in this Guara
