3、持有知识产权产品XX系列产品的总代理权和发展下级经销商的全部权利，以及管理和完善销售渠道的全部权利。The Authorizer authorizes the Agent with the Sole Agent right of XX series whose intellectual property belongs to the Authorizer in YY area and with the right to develop secondary agents. 1. 通过甲乙双方的协商，甲方授权乙方为XX系列产品的YY总代理及全球销售商。此协议自签字日起即日生效。自生效日起，甲方要在
4、合理的期限之内将乙方的授权信息告知于各地区正规代理商及正规销售商，以及将乙方的公司信息及在日本的销售网站的相关信息公布于授权产品官方网站上。Based on the consent of both parties, the Authorizer authorizes the Agent as Sole Agent and Global distributor of XX series. This Agreement takes effect on the date that both parties sign on it. Since the effective date, the Autho
5、rizer shall inform the authorization information of the Agent to the agents and distributors in other areas, as well as public the corporate information of the Agent and the relative information of its sales website in Japan on the Authorizers official website.2. 基本定价：General pricing terms:3. 授权产品的价
6、格，配件，数量，交期等细节经甲乙双方协商制定。甲方要以公平的价格提供给乙方，以便乙方开拓下级代理商及控制市场。Details as the price, spare parts, quantities and delivery time shall be agreed by both parties. The Authorizer shall provide the product at a reasonable price to the Agent for developing secondary agents and controlling market. 4. 乙方需要在甲方的生产准备期
7、内交付给甲方所限定的预付订金（原则上不超过订货总额的百分之三十）。少于1000pcs余款乙方将在到货后15天内付清，多于1000pcs，双方商议付款时间。The Agent shall pay the advanced deposit to the Authorizer in the production arrangement period (no more than 30% of the total ordered amount in principle). If the ordered amount is less than 1000 pcs, the remaining payment
8、 will be made by the Agent within 15 days after he has received the goods. If the ordered amount is more than 1000 pcs, the payment time shall be agreed by both parties.5. 乙方在全球范围内所投入的广告投入，市场渠道管理，网络平台推广自行解决，在有需要时，甲方提供技术支持人员协助市场开发。The Agent shall be responsible for its world-wide advertising investme
9、nt, marketing channel management and network platform promotion. The Authorizer will provide technical supporting staff to assist market development if necessary.6. 甲方保证乙方的销售货源渠道，保证货物符合出厂质量标准及乙方所要求的质量标准。在甲乙双方可接受的质量标准前提下，甲方发货到乙方之后，在产品使用之前如有不可挽回的严重质量问题发生，甲方要负责更换产品及承担所有相关费用。The Authorizer shall ensure
10、the supply of products for the Agent and ensure the products are in accordance with the factory quality standard and the quality standard required by the Agent. Under the premise that the quality standards has been accepted by both parties, if irretrievable quality problems occurs before using the p
11、roduct after the products are delivered from the Authorizer to the Agent, the Authorizer shall be responsible for changing the products at his costs.7. 甲方保证不授权给除乙方以外的YY市场的其他自然人或者法人等一切市场主体，但是不能保证YY地区用户从其他渠道购买。如果甲方了解到有除乙方以外的YY地区市场的其他自然人或者法人想要通过授权官网上所示除乙方以外的授权商购买授权产品时，甲方要正确引导除乙方以外的YY地区市场的其他自然人或者法人通过乙方在
12、YY地区购买。包括通知其他代理商及销售商要以同样方式处理。The Authorizer promises not to authorize to any market entities including individuals and corporations other than the Agent in YY area. However, the Authorizer does not guarantee that consumers will not buy from other channel. If the Authorizer realizes that other indivi
13、duals or corporations in YY area other than the Agent try to buy the authorized product from other authorized agents, he shall guide those individuals or corporations to purchase from the Agent in YY area. The Authorizer shall inform other agents and distributors to take the same measure. 8. 在特殊情况(自
14、然灾害，战争，公司破产等客观因素)以及不损伤双方利益的前提下，经甲乙双方协商后甲方可以保留其授权。In special circumstances (objective factors such as natural disaster, war, corporate bankruptcy) and under the premise that both parties interests are not harmed, the Authorizer can reserve his authorization in the consent of both parties. 9. 乙方将尽最大努力
15、促进产品销量。为帮助乙方取得最好业绩，乙方在有需要时，须提供技术支持协助攻克市场，同时甲方做好售后服务。甲方应保证乙方所有在范围内销售产品所必需或建议应取得的一切许可、同时及其他授权。The Agent shall try his best to increase the product sales. To help the Agent achieve the best performance, the Authorizer shall provide technical support to assist capture the market and provide good after-s
16、ales service. The Authorizer shall ensure the Agent to get all the permits and other authorizations that are necessary or suggested to sell the product.10. 产品升级及后续产品：若甲方对产品进行升级，以及开发出同类新的产品，无论其产品名称以及外观和功能，乙方仍是升级产品及新的同类产品的YY地区总代理及全球销售商。Product up-gradation and follow-up products: if the Authorizer upg
17、rades the product, and/or develops new product in the same series, regardless of the products name, outlook and function, the Agent will remain the Sole Agent in YY area and Global Distributor of the upgraded product and the new product.11. 售后及服务：乙方负责在YY地区市场做产品的售后和服务。对于客户问题，要即时反馈和处理，客户合理需求(如符合条件退换货的
18、)，尽量满足。问题产品乙方收集，一次性交给甲方处理。甲方无条件处理问题产品。After-sales service: the Agent is responsible for the after-sales service of the authorized product in YY area. He has to instantly give feedback to and deal with the customers problems, as well as fulfill the customers reasonable requirements (such as return or
19、 change the products according to the Guarantee). The Agent collects the problematic products and hands them over the Authorizer at once. The Authorizer shall deal with those problematic products unconditionally.12. 在本协议有效期内，甲乙双方不能单方面终止协议。甲方不能随意终止乙方的YY地区总代理及全球销售商资格，若甲方单方面终止，甲方将承担带给乙方的所有损失。In the eff
20、ective period of this Agreement, neither party shall end it unilaterally. The Authorizer shall not terminate the Agents qualification as the Sole Agent in YY area and Global Distributor. If Authorizer terminates the agreement unilaterally, he shall bear all the costs occurred to the Agent.13. 本协议有效期
21、为一年，有效期满后双方友好协商续约事由，在同等条件下乙方优先续约。截止至本协议有效期满为止，如果甲乙双方对此协议没有任何争议，本协议自动再次生效一年。The effective period of this Agreement is one year. After the effective period, both parties shall friendly negotiate the agreement extension. The Agent has the priority to extend the Agreement when other conditions being equ
22、al. If neither of the parities brings up objection to the end of the Agreement, the Agreement will take effect for one year further.14. 本此协议签署之后对本协议如甲乙双方发生争议，双方本着友好合作的原则予以协商解决。If disputes concerning the Agreement occurred after signing it, both parties shall come to a settlement out of a friendly co
23、operation principle.15. 本协议签署之后如对本协议内容甲乙双方发生争议，协商无法达成一致，双方同意，将争议提交乙方所在当地仲裁机构仲裁解决。其相关如费用由被仲裁方承担。仲裁无效，可向乙方所在当地司法机构依法起诉。其起诉相关费用由败诉方全部承担。If disputes concerning the content of the Agreement occurred after signing it, and the disputes cannot be settled, under both parties consent, the disputes shall be br
24、ought to the local arbitration institution where the Agent is located. The fees shall be borne by the party being arbitrated. If the arbitration is invalid, the case shall be prosecuted to the Agents local judicial institution. 16. 14.本协议一式三份，甲方执两份，乙方执一份，具有同等法律效力，由甲乙双方分别保存。This Agreement is made in
25、triplicate. The Authorizer will hold two copies and the Agent will hold one copy, respectively. All the copies shall have the same legal effect.17. 未尽事宜双方另行协商解决，商定的内容以补充协议、纪要、附件、洽商等形式，经签字盖章后与本协议具有同等法律效力。Unaccomplished matters will be settled through negotiation by both parties. The agreed content wi
