2、LResponsibilityforStorageServicesandCustody九、不可抗力IX.ForceMajeure十、其他约定X.MiscellaneousH-、争议解决XI.DisputeResolution十二、协议期限XILTermofContract部分章节示例如下：在自愿、平等、协商一致的基础上，甲方委托乙方在俄罗斯贝加尔地区提供专业、规范、安全、高质量的仓储物流服务，并向乙方支付相应的服务报酬。双方经过平等协商,在真实、充分地表达各自意愿的基础上，根据中华人民共和国合同法的规定，达成如下合同，并由双方共同恪守。Onthebasisofvoluntary,equalit
3、yandconsensus,PartyAentrustsPartyBtoprovideprofessional,standardized,safeandhigh-qualityservicesonthematterswithinBaikalregioninRussianofE-commerceoverseaswarehouseservice,andeffectpaymentofcorrespondingserviceremunerationtoPartyB.Thepartieshereto,throughequalnegotiationandinaccordancewiththeContrac
4、tLawofthePeoplesRepublicofChinazjointlysignthisOverseasWarehouseServicecontractinadditiontoconcludethefollowingprovisionsforjointobservationofimplementationhereof:一、服务内容I.ServiceContent乙方为在俄罗斯贝加尔地区为甲方提供仓储物流服务。主要包括:PartyBshallprovidewarehousingandlogisticsservicestoPartyAwithinBaikalregioninRussian,w
5、hichmainlyincludes:1.1仓储服务：库存，仓储，订单处理；1.1 Storageservice:inventory,warehousing,orderprocessing;1.2 物流服务：头程运输，后程运输。1.3 Logisticsservices:firsttransport,reartransport.二、服务费用以及计算方式.ServiceCostandCalculationMethod2.1乙方按照双方确认的收费标准及收费内容进行收费；2.1 PartyBshallchargethefeespursuanttothechargingstandardsandcont
6、entconfirmedwhichagreedbytheparties;2.2 运输计费方式2.2Transportationbillingmethod头程运输费用：Costoffirstdistancetransport后程运输费用：Costoffirstreartransport2.3 服务的计费项目、标准和结算方式以合同约定为准；其他未约定费用双方另行协商确定。2.4 Thebillingitemszstandardsandsettlementmethodsofservicesshallbesubjecttothecontract,andotherun-agreedexpensessha
7、llbedeterminedseparatelythroughnegotiation.2.5 运费、仓储费用及其他相关费用的变更以甲、乙双方书面文件为准；2.6 Changesoffreight,storageandotherrelatedexpensesshallbesubjecttothewrittendocumentsbetweenPartyAandPartyB；2.7 为保证业务的顺利进行，甲方需按乙方要求预交运费。直到收到甲方预交全部运费后，乙方可接受甲方发货。乙方根据甲方货量每日计算甲方应付运费金额，在预交运费不足时提前通知甲方尽快补足运费。乙方有权在甲方实际发生运费金额超过预交运
8、费金额的情况下停收甲方的货物，乙方并不承担因此而产生的延误损失；2.8 Toensurethesmoothprogressofthebusiness,PartyAshallpaythefreightinadvanceasrequiredbyPartyBwhichmayacceptPartyAsdeliveryuntilreceiptoffullfreightinadvance.PartyBshallcalculatethefreightamountpayablebyPartyAaccordingtoPartyAsfreightvolumedaily,andnotifyPartyAtomakeu
9、pthefreightrateassoonaspossibleinadvanceifthefreightrateisinsufficientinadvance.PartyBshallhavetherighttosuspendreceivingPartyAsgoodsiftheactualfreightamountexceedthefreightamountinadvancewithoutbearingtheresultinglossofdelaytherefrom;2.4 乙方承诺给甲方免90天仓储费(货到仓库算)，超过90天将按照5元/天每立方收取仓储费，并从账户扣除；如甲方每月都有出货，乙
10、方免收仓储费。2.5 PartyBpromisestoexemptPartyAfrom90daysofstoragefee(calculatedfromthedayonwhichthegoodsarrivedthewarehouse),storagefeewillbechargedpercubicbasisat5yuanperdayover90days,whichdeductfromtheaccount.IfPartyAdeliversgoodseverymonth,PartyBshallexemptthestoragefee.2.6 乙方每月日前与甲方进行上月业务结算,甲方收到乙方所提供的结
11、帐明细、发票后，在一日内以现金、支票、电汇的方式支付给乙方。甲方如延迟付款超过一天以上的，按服务费一%/天的数额向乙方支付滞纳金。PartyBshalleffectthebusinesssettlementwithPartyApriortothedayofeachmonth.PartyAshalleffectpaymentwithindaysviacash,check,orwiringuponreceiptofthedetailstatementfromPartyB.Anadditional%oftotalcharge/perdaywillbechargedbyPartyBifanydelay
12、paymentthatoverdays.三、各方的权利与义务I.RightsandObligationsofParties3.1 甲方的权利义务3.1TherightsandobligationsofPartyA3.1.1 甲方对其使用贝加尔海外仓的货物有合法的拥有权和销售权；3.1.2 PartyAhasthelegalownershipandsalesrightofthegoodsusingtheBaikaloverseaswarehouse;3.1.3 甲方有权要求乙方按委托指令将货物运送到目的地；3.1.4 PartyAshallhavetherighttorequestPartyBt
13、odeliverthegoodstothedestinationinaccordancewiththeentrustedinstructions;3.1.5 甲方需保证委托乙方安排运输等相关事宜的货物符合进出口国家有关法律、法规和规章；3.1.6 PartyAshallguaranteethatthegoodsentrustedtoPartyBtoarrangetransportationandotherrelatedmattersconformtotherelevantlaws,regulationsandregulationsoftheimportandexportcountries;3.
14、1.7 甲方需保证委托乙方安排运输事宜的货物包装符合运输要求，适于长途国际运输；3.1.8 PartyAshallguaranteethatthepackagingofthegoodsentrustedtoPartyBtoarrangethetransportationmeetsthetransportationrequirementsandissuitableforlong-distanceinternationaltransportation;3.1.9 甲方需保证提供的相关信息(包括收发货人名称、地址、电话、传真、联系人、货物的准确品名、品牌、材质、数量、重量、尺寸、体积等)真实、准确，
15、运输文件、单据齐全、真实、合法、有效；3.1.10 PartyAshallensuretherelevantinformationprovided(includingthename,address,telephone,faxzcontact,andtheaccuratename,brand,qualityquantityzweight,sizeandvolumeofthegoods)istrueandaccurate,inadditiontoauthenticity,accuracyandvalidityofthetransportationdocuments;3.1.11 物运抵目的地前，甲
16、方有权要求变更运输相关事宜，同时承担由此产生的相关费用及责任；3.1.12 PartyAshallzpriortoarrivingatthedestinationthegoodslhavetherighttochangethemattersrelatedtotransportationandbeartherelevantexpensesandundertakeresponsibilitiesincurredtherefrom;3.1.13 方应根据本合同及时向乙方付款。3.1.14 PartyAshalltimelyeffectpaymenttoPartyBinaccordancewithth
17、iscontract.3.2 乙方的权利义务3.2TherightsandobligationsofPartyB3.2.1 乙方应按合同要求在规定的时间内为甲方提供合同约定的服务；3.2.2 PartyBshallprovidePartyAwiththeservicesstipulatedinthecontractwithinthespecifiedtimeasrequiredinthecontract;3.2.3 乙方应向甲方提供货物运输状况信息(如货物位置、在途天数、过境换装日期和到达目的地时间等)；3.2.4 PartyBshallprovidePartyAwithinformation
18、ofcargotransportationstatus(suchascargolocation,daysoftransit,dateoftransitchangeandtimeofarrivalofdestination,etc.);3.2.5 乙方客户服务人员应与甲方保持通讯畅通；3.2.6 ThecustomerservicepersonnelofPartyBshallkeepthecommunicationsmoothwithPartyA;3.2.7 在货物报关期间，由于乙方的原因，造成货物灭失、短少、变质、污染、损坏的，乙方应承担赔偿责任。但是因货物的自然属性合理损耗或性质变化，乙方不
19、承担责任；3.2.8 Duringthegoodsdeclarationperiod,providedthatifanyIostrshort,deteriorated,pollutedordamagedofthegoodsduetoPartyB,sreason,PartyBshallbeliableforcompensation.HoweverPartyBshallnotbeliableforreasonablelossorchangeofthenaturalcharacterofthegoods;四、保险IV.Insurance4.1甲方须为发运的货物购买保险，甲方应在发货当天确认是否投保,
20、否则乙方不承诺接受投保，且由此所产生的风险及损失由甲方自担；4.1 PartyAshalleffectinsuranceforthegoodsshipped,andPartyAshallconfirmwhethertheinsuranceiseffectedonthedayofdelivery,otherwisePartyBshallnotpromisetoaccepttheinsurance,andtheresultingrisksandlossestherefromshallbebornebyPartyA;4.2 货物投保按货物申报价值的2%收取保费，甲方一旦投保，既适用于国内货物赔偿，也
21、适用于国外货物赔偿；4.3 Thegoodsinsuranceshallbechargedat2%ofthedeclaredvalueofthegoods.PartyAshallbeapplicabletoeffectcompensationfordomesticgoodsandcompensationforforeigngoods;五、运输货物赔偿V.Compensationfortransportedgoods5.1正常陆运运输时间不超过30天，超过60天的按货物灭失处理,正常空运运输时间不超过15天，超过45天安货物灭失处理。如果适逢中、俄两国公众假期及不可抗因素（如及恶劣天气、战争、海
22、关封闭等），到货时间顺延；5.1 Thenormallandtransporttimeshallnotexceed30days,morethan60daysshallbetreatedbycargoloss,andthenormalairtransporttimeshallnotexceed15dayszmorethan45shallbetreatedbycargoloss.ProvidedthatiftheChineseandRussianpublicholidaysandforcemajeurefactors(suchasbadweather,war,Customsclosure,etc.
23、),thearrivaltimewillbepostponed;5.2 如发生货物丢失，保险货物按丢失或灭失部分货物投保金额赔付；5.3 Incaseofloss,theinsuredgoodsshallbepaidaccordingtotheinsuredamountofthelostordamagegoods;六、货物的交接及运输变更VI.AmendmentofGoodsDeliveryandTransportation6.1 甲方应在指定地点提前备妥货物及相关文件、单据，保证货物包装符合运输要求，适于长途国际运输；6.2 PartyAshallpreparethegoodsandrele
24、vantdocumentsinadvanceatthedesignatedplaceandensurethegoodspackagingmeetthetransportationrequirementsandsuitableforlong-distanceinternationaltransportation;6.3 在货物尚未运抵至收货人前，甲方如要求变更运输相关条款，如收货人、目的地等，甲方应及时通知乙方，甲方应及时支付相关费用，并赔偿因此给有关方面造成的损失；6.4 Priortothegoodsarrivingtheconsignee,ifPartyArequeststochanget
25、herelevanttermsoftransportation,suchastheconsigneeanddestination,PartyAshalltimelynotifyPartyBinadditiontopaytherelevantexpensesintimeandcompensateforthelossescausedtootherrelevantparties;6.5 合同期内任何一方不得擅自变更。如确有特殊原因需变更时，提议变更的一方必须提前30日书面通知对方，待双方达成一致并签署补充合同后，本合同条款方可变更；6.6 Neitherpartyshallzwithoutauthorizationduringthecontractperiod,makeamendmentorchangehereof.Wherethespecificreasonsfortheamendmentorchangereallyexist,thepartyproposingtomakeamendmentorchangeshallzinwritingprior30days,notifytheoppositeparty,andthetermshereofcannotbechangeduntilthepartieshavereachedasupplementarycontract;
