2、artyBagreeonthetermsandconditionssetoutbelow.第一条聘任Article1Engagement1.1聘任的合意1.!AgreementonEngagement甲方同意依照本协议的条件和条款以及国际访问教授计划实施管理办法的规定聘任乙方为国际访问教授，乙方同意接受该等聘任。PartyAagreestoengagePartyB,andPartyBacceptsengagementbyPartyAasaVisitingProfessorofUniversityinaccordancewiththetermsandconditionsofthisAgreeme
3、ntandtheTrialRegulationsforUniversityofVisitingProfessorInternationalH12聘任的性质本协议下的聘任并非旨在于甲方和乙方之间创立雇用劳动关系。相应的，乙方所享受的报酬和待遇应当仅限于本协议的规定。TheengagementunderthisAgreementisnotintendedtocreateanemploymentrelationshipbetweenPartyAandPartyB.Accordingly,PartyBshallnotbeentitledtoanyremunerationandbenefitsother
4、thanthoseprovidedforunderthisAgreement.第二条聘任期限Article2Term本协议下的聘任的期限为一个月，从一开始，到一结束(包括该两日)。ThetermoftheengagementunderthisAgreementshallbemonths,commencingonandendingon(bothdatesinclusive).第三条乙方的职责Article 3 DutiesofPartyB3.1 工作范围乙方应在本协议期限内按照甲乙双方同意的工作计划为甲方工作。PartyBshallworkforPartyAduringthetermofthis
5、AgreementaccordingtotheworkplanagreeduponbetweenPartyAandPartyB.3.2 工作评审3.3 WorkReview乙方的工作和研究应当接受甲方的评审。PartyBshallhavehis/herworkandresearchsubjectedtoreviewbyPartyA.报酬Article 4 Remuneration4.1 RatesandPaymentTerms除非本协议提前解除，乙方完成约定的工作量(包括工作时间)，甲方将向乙方提供金额为税前一元人民币/月(按实际工作天数计算)，作为其工资薪酬。甲方将承担乙方一次往返国际机票(
6、经济舱)。IfPartyBaccomplisheshis/herresponsibilities(includingtheworkingtime),PartyAshallprovidePartyBwithRMByuanpermonth(beforetax)(unit:day),tocoverhis/hersalary.PartyAwillprovidePartyBaneconomyclassround-tripticket.4.2 费用的报销4.3 ReimbursementofExpenses甲方可为乙方报销其为履行本协议下的职责所产生的合理的费用。PartyAmayreimburserea
7、sonableexpensesincurredbyPartyBinconnectionwiththefulfillmentofhis/herdutiesunderthisAgreement4.4 税及扣减4.5 TaxesandDeductions乙方应当承担所有对其适用的所得税和法律要求的扣减。甲方应当依照相关法律法规的要求替乙方代扣相应的税款。PartyBshallberesponsibleforalltheincometaxesapplicabletohim/herandsuchotherdeductionsasrequiredbyChineselaw.PartyAshallberesp
8、onsibleforwithholdingsuchtaxesanddeductionsforPartyBinaccordancewiththerequirementofrelevantlawsandregulations.第五条假期和病假Article 5 VacationandSickLeave乙方应按照中国的法律和甲方的内部规章制度享受假期和病假。PartyBshallbeentitledtovacationsandsickleavesaccordingtoChina,sstatutorylawsandPartyA,sinternalrules.Article 6 artyB,sOblig
9、ations乙方在本协议期间内应履行以下义务：遵守中国的法律法规及大学的有关规定。乙方应当遵守甲方制定和不时修改的适用于其雇员或者是具有同类职责的访问学者的所有规章制度。C）乙方提供其所在国家和地区的驻华使馆承认的健康证明。PartyBshall,duringthetermofthisAgreement,fulfillthefollowingobligations:PartyBshallabidebythelawsandregulationsofChinaandtherulesandregulationsofUniversity.PartyBshallabidebyalltherulesand
10、guidelinesprovidedandamendedfromtimetotimebyPartyAforallitsemployeesorvisitingscholarshavingcomparableduties.PartyBshallsubmitthehealthcertificate,providedbythemedicalinstitutionrecognizedbylocalChineseembassiesandconsulates.Article 7 PartyA,SObligations甲方在本协议期间应当协助乙方获取为中国法律所要求的乙方进入、离开中国和在中国居住、工作所必须
11、的许可和批准，并且应当为乙方提供开展本协议下的研究项目所必须的工作条件。PartyAshall,duringthetermofthisAgreement,assistPartyBinsecuringpermitsandapprovalsrequiredbyChineselawthatarenecessaryforPartyB,sentryinto,exitfrom,livingandworkinginChinaandprovidePartyBwithworkingconditionsthatarenecessaryforPartyBtocarryouttheresearchprojectund
12、erthisAgreement保密Article 8 Confidentiality非经甲方事前书面同意，乙方不得将其获得的或者是知道的甲方的秘密信息披露给件可人。该等秘密信息包括但不限于甲方的任何技术或是研究秘密、秘密的设计、工艺、数据、配方、方案、设胸口材料。乙方应按照甲方的指示，迅速交回或者毁掉存有该等秘密信息的任何媒介。未经甲方书面同意,乙方不得保留、复制、打印、编辑或者是以任何方式处置该等秘密信息。WithoutpriorwrittenconsentfromPartyA,PartyBshallnotdiscloseanyconfidentialinformationofPartyAw
13、hichPartyBhasacquiredorbecomeacquaintedwith,includingwithoutlimitationanytechnicalorresearchsecrets,confidentialorsecretdesigns,processes,data,formulae,plans,devicesandmaterials,toanythirdparties.PartyBshallpromptlyreturntoPartyAordestroyanymediumthatcontainssuchconfidentialinformationuponPartyA,sin
14、structionsandPartyBshallnotretain,copy,print,compileorinwhatsoevermannerdisposeofsuchinformationwithoutPartyAswrittenapproval.知识产权Article 9 IntellectualPropertyRights9.1 归属9.1Ownership除非双方另行同意，源自于本协议下的研究项目的任何知识产权应属于甲方。双方应当采取一切必要行动以保证由甲方合法获取和占有该等知识产权并且享有该知识产权的权益和利益。Unlessotherwiseagreedbetweenthepart
15、ies,anyintellectualpropertyrightswhicharederivedfromtheresearchprojectunderthisAgreementshallbelongtoPartyA.BothpartiesshalldosuchthingsasnecessarytoensurethelawfulacquiringandpossessionofsuchintellectualpropertyrightsandtheenjoymentoftheensuinginterestsorbenefitsbyPartyA.9.2 标注9.2Reference本协议下的所有研究
16、成果,不论是研究论文、出版物或者是专利等,应当注明项目编号。AlltheresearchresultscreatedunderthisAgreement,whetherintheformofresearchpapers,publicationsorpatents,etc.,shallbemarkedwithsuchreferenceasGRANTNo.).第十条解约Article10Termination本协议可经双方同意后解除,或者依照相关法律法规解除。ThisAgreementmaybeterminatedbymutualagreementofthepartiesoraccordingto
17、relevantlawsandregulations.争议的解决Article11DisputeResolution因本协议产生的任何争议应当由双方友好协商解决。AnydisputearisingoutofthisAgreementshallbesettledthroughamicablenegotiationandconsultationbetweentheparties.第十二条牛效Article12Effectiveness本协议经双方签字后生效。双方于此签字，以昭信守。ThisAgreementwillbecomeeffectivewhenbothpartieshavesignedit.INWITNESSHEREOF,thepartiesherebyexecutethisAgreement甲方：乙方：PartyA:PartyB:_授权签字人：Authorizedsignatory:日期：日期：Date:Date:
