1、 ENTERTAINMENTCONTRACTthiscontract,madethis_dayof_,2_,byandbetweenmiddletennesseestateuniversity(institution)and_(contractor).witnessethwhereastheinstitutiondesirestopurchaseandthecontractordesirestoprovidecertainentertainmentservices,thepartiesherebyagreetothetermsandconditionssetforthherein.1.thec
2、ontractorwillprovideentertainmentconsistingof_.2.theentertainmentwillbeprovidedatinstitutionsfacilitieslocatedat_.3.entertainmentperformancewillbeginat_.4.institutionwillprovideadditionalaccesstoitsfacilitiesasfollows:accesstotheatreanddressingroomsasagreeduponinattachedcontractaddendum.5.institutio
3、nwillberesponsibleforprovidingthefollowingequipment/services:sound,lightingandelectricalserviceasrequired.6.thecontractorwillberesponsibleforprovidingthefollowingequipment/services:(sound,lighting,security,etc.)7.institutionshallmakepaymenttothecontractorbyuniversitycheckintheamountof_;madepayableto
4、_(ein#_)uponcompletionoftheentertainmentperformance.8.theinstitutionshallberesponsibleforanyapplicableamusementorsalestax.9.thecontractorwarrantsthatnopartofthetotalcontractamountprovidedhereinshallbepaiddirectlyorindirectlytoanyofficeroremployeeofthestateoftennesseeaswages,compensation,orgiftsinexc
5、hangeforactingasofficer,agent,employee,subcontractor,orconsultanttothecontractorinconnectionwithanyservicesperformedrelativetothiscontract.thecontractorfurtherwarrantsthatwithinthepastsixmonthshehasnotbeenandduringthetermsofthiscontractwillnotbecomeanemployeeofthestateoftennessee.10.theinstitutionre
6、servestherighttointerruptorterminatetheentertainment,oranyportionthereof,ifduringtheentertainmentperformance,theinstitutiondetermines,initssolediscretion,thatsuchactioniswarrantedtomaintainsecurityorcompliancewithfederal,stateorlocallawsorregulationsoftennesseeboardofregentspolicy.suchaction,inandof
7、itself,shallnotaffecttheinstitutionsobligationforpaymentunderthetermsofthiscontract;provided,however,thatpaymentmaybewithheldifsuchinterruptionorterminationisnecessaryduetoafailurebythecontractortoobserveinstitutionpoliciesofwhichithasbeeninformed.11.thecontractoragreestoassumefullresponsibilityforp
8、aymentofanyandallcopyrightroyaltiesduefortheentertainmentperformanceprovidedhereunder.thecontractorfurtheragreestoassumefullresponsibilityforanycopyrightinfringementwhichoccursduringthecourseofsaidperformanceandagreestoindemnifyandholdtheinstitutionharmlessfromanyandallliabilitiesanddamagesarisingou
9、tofanyactionforcopyrightinfringement.12.nopersononthegroundsofrace,color,religion,sex,creed,age,disability,nationalorigin,orveteranstatuswillbeexcludedfromparticipationin,orbedeniedbenefitsof,orotherwisebesubjectedtodiscriminationintheperformanceofthisagreementorintheemploymentpracticesofthecontract
10、or.13.thecontractorshallmaintaindocumentationforallchargesagainsttheinstitutionunderthisagreement.thebooks,records,anddocumentsofthecontractor,insofarastheyrelatetoworkperformedormoneyreceivedunderthisagreement,shallbemaintainedforaperiodofthreefullyearsfromthedateofthefinalpayment,andshallbesubject
11、toaudit,atanyreasonabletimeanduponnotice,bytheinstitutionorthecomptrollerofthetreasury,ortheirdulyappointedrepresentatives.14.theundersignedagentonbehalfofthecontractor,warrantsthathe/shehastheauthoritytoexecutethisagreementonbehalfoftheperformingartistsandfurtherwarrantsthattheperformingartistshave
12、agreedtobeboundbythetermsandconditionsstatedherein.15.anyandallclaimsagainsttheinstitutionforpersonalinjuryorpropertydamageresultingfromthenegligenceoftheinstitutioninperforminganyresponsibilitiesspecificallyrequiredunderthetermsoftheagreementshallbesubmittedtotheclaimscommissionofthestateoftennesse
13、einthemannerprescribedbylaw.damagesrecoverableagainstinstitutionshallbelimitedexpresslytoclaimspaidbytheclaimscommissionpursuanttot.c.a.section9-8-301etseq.inwitnessthereof,theparties,throughtheirauthorizedrepresentatives,haveaffixedtheirsignaturesbelow.seeattachmentsmiddletennesseestateuniversitycontractorby:_by:_johnw.cothern,vicepresidentbusiness&finance
