32、工程施工合同中区及东区重点线路园林改造工程及景观大道植物补充协议 发包方（甲方）： 北京联东金桥置业有限责任公司 承包方（乙方）： 北京市花木公司 根据中华人民共和国合同法及国家有关法律、法规的规定，甲、乙双方在平等、自愿、等价有偿、公平、诚实信用的基础上，经友好协商，就甲方委托乙方进行 联东U谷中区及东区重点线路园林改造工程及景观大道植物工程达成一致意见，特签订本补充协议，以资信守。第二条 承包范围1、承包范围： 按甲方下发的联东U谷中区及东区重点线路园林改造工程及景观大道植物内容施工，包括绿化种植（含苗木运输及现场种植及种植所需做的土质处理、换填、施肥养护等）；含车人行路铺装、艺术地坪等2
33、、具体以甲方招标部门提供的联东U谷中区及东区重点线路园林改造工程及景观大道植物认价，如设计施工图纸与苗木统计清单不一致，以苗木清单为准。第三条 承包方式（一）包税费、包工包料、包质量、包工期、包材料运输、包种植、包施肥、包文明施工、包苗木保护成活、除草籽为3个月养护外，其余均为18个月养护；铺草籽面积暂定为9500平方米，以现场实际情况为准，包通过有关部门的验收、包承包风险、包保养的方式由乙方承包本工程。（二）结算办法：苗木工程量在工程验收后按施工图及甲乙双方签证的实际工程量结算；当种植的苗木品种、规格在合同附件范围内时，结算时数量按成活苗木品种数量计算，单价按合同附件中的相关项目苗木单价（乙
34、方不得擅自调整苗木设计要求，由于乙方自行提升苗木品种、规格，超过部分的苗木单价仍按合同附件相关项目苗木表单价执行）；当种植的苗木品种、规格超出合同附件范围时，超出部分经甲方书面确认后，超出部分苗木单价及定额套用按以下原则进行结算：1、苗木单价须由乙方按市场实际价格报送甲方审核部门确认后才能作为结算依据，此部分由甲方审核确认后单价不再下浮。2、取费按合同附件计费原则执行。第四条 工期（一）工期自收到甲方入场通知书之日起至乙方竣工并通过合同约定的全部验收之日止，共计 30 日历天。（二）如遇下列情况，乙方须在发生签证事由2个工作日内书面通知甲方，并经甲乙双方代表签证，工期相应顺延，否则视为乙方放弃
35、签证的权利，工期不予顺延：1、因甲方原因影响工程项目进度，如未按时交出场地，接通水电，甲方变更设计影响施工；2、不可抗力因素。第五条 工程质量及验收标准1、工程质量必须达到合格（验收标准按 设计图纸、相关规范及甲方技术要求 执行）。2、甲方移交场地不应有堆土及施工泥坑，在设计标高30公分以内由乙方负责清理及换土，发生量由甲方和监理确认，乙方平整绿化种植场地后，应通知甲方或监理验收后方可种植，种植程序应规范。3、苗木应符合设计图纸中的规格、质量等要求，苗木胸径规格超过“基价”内的要求时，苗高及定干高度应符合相应比例。施工及分项验收应遵循中华人民共和国行业标准、城市绿化工程施工及验收规范及 北京
36、市的相关地方法规。4、乙方需提交完整、可行的施工方案（包括正式施工图及有关进度计划，进度计划应结合现场情况编排）报甲方审批，甲方应在5个工作日内完成对施工方案的审批。 5、工程竣工验收前，乙方应提交一式四份完整有效的竣工图和竣工资料及其电子文档给甲方存档。工程变更较大时，由乙方重新绘制竣工图及提供有关工程验收资料，其中发生的一切费用由乙方承担。6、工程完工后，乙方应通知甲方进行验收。双方现场核点工程量及检查工程质量，经双方办理签证手续后，乙方按规定办理工程移交工作。7、自工程竣工验收之日起满三个月后的 5个工作日由乙方书面提出质量评定要求，甲方接到通知后5个工作日内会同乙方进行质量等级评定。第
37、六条 工程价款及付款方式（一） 采用固定单价方式签订本合同，工程总价款为人民币大写：陆拾万零叁仟叁佰零贰元 （小写：603302 元）按苗木成活率和合同约定的单价结算。当工程项目变更较大时，甲乙双方应及时对工程总价款进行调整，并以调整后的工程总价款作为进度款支付的依据。调整办法：中标价有的执行中标价；中标价没有的双方协商确定；费率按中标费率执行。（二） 付款方式：1、合同签订后，支付至工程合同总额的20%。2、工程形象进度完成80%后，支付至工程合同总额的50%。3、工程竣工验收合格后，支付至合同总额的70%。4、工程竣工验收合格并结算后一个月内支付至结算总额的80%。 5、工程竣工验收合格6
38、个月内（且工程结算完成审批）支付至结算总额的90%。6、工程竣工验收合格满一年后的第一个月内支付至结算总额的100%7、以上付款，甲方将以支票或电汇方式支付。8、支付以上款项时，乙方须先提供工程所在地区有效的等额发票。9、若甲方需在本合同约定的标的或工作量以外委托乙方完成一定工程或工作量，应以正式书面形式将具体工作范围、价款、完成时间、付款进度等主要内容通知乙方。没有甲方正式书面委托而进行的工程或工作量，甲方不予结算。 第七条 保养期1、除草籽为3个月养护外，其余均为18个月养护；铺草籽面积暂定为9500平方米，以现场实际情况为准。2、苗木免费保养期为 18个月，从通过本合同约定的全部验收（包
39、括甲方及绿委专业验收）之日起计。3、保养期内，乙方必须及时处理甲方提出的质量问题，凡因乙方施工造成的质量问题，乙方接甲方通知之日起五个工作日内，应无条件予以保养，苗木不成活的应及时更换。否则，甲方有权另派施工队伍施工、养护，一切费用在养护金内扣除，超出养护金的部分，甲方有权向乙方追偿。第八条 双方义务（一）甲方义务1、委派现场代表（甲方工程部工程师） 负责对联东U谷中区及东区重点线路园林改造工程及景观大道植物工程建设进行全面管理，解决施工过程中出现的需要甲方协调的相关问题，并参与工程的初验、各种验收和签证工作；如变更现场代表应及时通知乙方。2、向乙方提供施工场地，保证运输道路畅通，同时提供现场
40、施工用水、用电（水电费在保养期内乙方不承担费用）。3、提供本项目施工图纸，负责组织图纸会审和设计交底。4、及时对工程进度、工程质量进行监督检查，参加材料报验、样板验收、组织工程的初验，接乙方书面通知起4个工作小时内参加隐蔽工程验收。5、接乙方书面竣工验收通知后应在5个工作日内组织竣工验收。6、对于工程变更申请，应在收到乙方书面材料起3个工作日内进行审批或确认，办理有关签证。7、接乙方提供工程进度报表后3个工作日内审批并确认工程施工进度，并按合同约定支付合同款项。8、负责协调乙方与其他各承包单位的关系，并协助解决材料堆放场地，费用由乙方承担并直接向总承包单位支付。9、按相关规定办理施工所需证件、
41、手续，提供有关的资料，包括： 10、甲方在收到乙方所提交的竣工结算书及完整的竣工结算资料后，应在两周内通知乙方核对工程价款并于竣工验收后的二个月内完成结算。（二）乙方义务1、委派现场代表 负责施工期间的全面管理。该现场代表须持有与本工程项目相适应的资格证书，如变更现场代表应事先经甲方书面同意。2、根据甲方确认的施工图纸，按照本合同约定完成承包范围内的施工工作，并按甲方要求的格式书面提请办理验收和确认手续。3、工程项目开工应提前3个工作日将完整的施工方案、开工报告、工程主要负责人名单报甲方确认、备案，如乙方更换工程主要负责人，应事先征得甲方的书面同意。4、乙方材料进场前，须提前1个工作日书面通知
42、甲方，进场时经双方共同验收并作书面记录。5、施工过程中如发现设计错误或不合理时，应立即停工并书面通知甲方。否则，乙方应对扩大的损失负责赔偿。6、于每月 / 号前及达到合同约定的付款条件时，乙方须按甲方要求的格式提供相应的工程进度报表给甲方确认，达到本合同约定的付款条件的还应向甲方发出书面付款通知，若乙方未及时提供前述资料，甲方可相应顺延付款时间。7、按相关安全法规进行安全施工，遵守甲方施工现场管理的有关规定，承担在施工过程中的防火、防盗、防止事故发生等安全责任。若出现安全问题，责任由乙方自行承担。8、乙方应处理好与其他在建专业施工队伍的关系，保证施工场地的清洁卫生符合相关环境卫生管理的规定，做
43、到工完场清。9、工程交付甲方前，应负责已完工工程的保护工作，在此期间发生损坏的，由乙方自费予以修复并按合同约定交付甲方，由此造成工期延误，按违约责任中的逾期完工条款处理。10、乙方如在施工过程中损坏甲方现场的其他工程成品或半成品，乙方应赔偿给甲方，甲方有权在工程结算款中扣除。11、乙方进场施工时，应与总承包单位签订有关的协议。12、乙方与其员工之间的一切劳动纠纷由其自行负责，由此给甲方造成损失的，乙方应予以赔偿。13、乙方应保证绿化工程通过 通州 区（市）绿化委员会验收及小区综合验收的绿化专业验收，且应在通过甲方竣工验收后30日内领取绿化工程竣工验收合格证明。14、图纸外（现场变更、临时工程等
44、）的工程签证，属于隐蔽工程的应于隐蔽前办理签证，非隐蔽工程应于完成后2个工作日内办理签证。签证时，乙方应至少提前4个工作小时通知甲方，经甲方项目工程设计管理中心、房地产经营管理中心及乙方共同现场验收签证，并在签证单中签名确认方为有效。甲方、乙方双方各执2份，作为工程结算依据。不按以上要求的事后补签，甲方可不予以认可及结算，后果由乙方自己承担。15、分项工程施工完成，乙方进行自检合格后应以书面形式（按甲方要求的格式）通知甲方验收。通知包括验收的内容、验收时间和地点。甲方验收合格后，乙方方可进行下一道工序的施工。验收不合格，乙方在甲方限定的时间内整改后重新报验。16、乙方应在工程竣工验收后两周内向
45、甲方提交竣工结算书及完整的竣工结算资料，并在收到甲方发出的核对工程价款通知之日起3个工作日内与甲方核对工程价款，于竣工验收后的二个月内完成结算。17、乙方不按上款约定履行义务的，视为乙方同意以甲方结算金额作为本工程的最终结算金额。如工程的最终结算金额少于甲方已支付的工程款总额，则乙方应在收到甲方通知之日起5个工作日内将甲方已支付的工程款总额和工程的最终结算金额之间的差额退回给甲方。18、乙方须按本合同附件三施工单位进场须知的规定进行各项工作，否则视为乙方的工作不符合合同的要求或未达到合同约定的条件，由此造成的一切后果由乙方自行承担。第九条 违约责任1、甲方必须按本合同约定参加隐蔽工程验收，否则
46、视为默认，乙方可进行下道工序，但如乙方施工质量不符合合同约定的要求，乙方必须承担质量责任。若事后甲方提出复查，复查合格时费用由甲方承担，复查结果不合格时，复查及返修费用由乙方承担，工期不予顺延。2、甲方未能按本合同约定进行竣工验收的，由甲方承担工程保管及风险责任。 3、乙方未能在合同约定工期内通过竣工验收或逾期向甲方提交绿化工程竣工验收合格证明书的，每逾期一日，按工程预算总价款的1向甲方支付违约金。逾期超过 / 日，甲方有权解除合同，乙方应按工程预算总价款的20向甲方支付违约金。4、乙方在施工过程中，除不可抗力或甲方原因外不得以任何理由停工，非上述原因连续停工两个工作日以上的，甲方有权解除合同
47、，乙方应向甲方支付工程预算总价款的10作为违约金，造成甲方工期延误或其他损失的，乙方应予赔偿。5、若乙方擅自中途更换工程主要负责人，或乙方现场代表不配合甲方工作或不能胜任工作，甲方有权要求乙方更换相应人员，乙方应在甲方要求更换之日起五日内更换。否则甲方有权要求停工或解除合同，由此造成的工期延误的违约责任及甲方的损失由乙方承担。6、乙方施工须遵守甲方对工程管理的规定，造成甲方损失的，乙方应赔偿甲方损失。7、乙方人员在施工区内出现打架斗殴、损坏工程成品、安全事故等情况时，所产生的对乙方人员或第三人的损害由乙方承担责任并负责赔偿；由此造成的甲方的损失，由乙方负责全额赔偿。 8、甲方依据本合同约定行使
48、解除权的，乙方所有人员、设备必须在甲方解除合同书面通知送达之日起三个工作日内撤离施工现场并向甲方移交有关的所有工程资料，并在此期限内与甲方共同签证已完成的工程量。未经甲乙双方共同签证的工程量不得再要求结算。甲方在上述期限过后有权安排新的施工单位进场施工。9、乙方不按时进场开工，在甲方发出书面通知后的 2 日内仍不进场施工的，甲方有权解除合同，乙方应向甲方支付工程预算总价款的20作为违约金，造成甲方工期延误或其它损失的，乙方应予赔偿。10、乙方擅自把工程分包或转包给其他任何单位，甲方有权解除合同，乙方应按工程预算总价款的20向甲方支付违约金，并赔偿甲方因此造成的一切损失。11、乙方与甲方工作人员串通、虚构事实或使用其他方式虚报签证工程量的，乙方应当返还因虚报所获得的工程款，并按虚报工程款的数额向甲方支付违约金。12、乙方未按合同约定及时向甲方提交竣工结算书及完整的竣工结算资料或提交后未按甲方通知的时间和甲方核对工程价款的，每逾期一日，按工程预算总价款的1向甲方支付违约金。该违约金应在收到甲方通
