3、明确双方的权利、义务特制订本协议。PartyAandPartyB,throughfriendlynegotiationonthebasisofmutualbenefit,resourcesharing,technologycomplementarityandcommondevelopment,reachthecooperationintentionforPartyA,SprovisionofthetechnicalschemeonthepowerlinecarriermoduleandrelevantpowerlinecarriertoPartyB.Thisagreementisherebyf
4、ormulatedtoclarifytherightsandobligationsofthepartieshereto.一、合作内容1.Contentsofcooperation电力线载波系统：包括管理软件；集中器；单、三相（单费率）载波电度表；单、三相复费率载波电度表；单、三相预付费载波电度表；载波模块。Powerlinecarrierwavesystem:includingmanagementsoftware,concentrator,singleandthreephase(singlerate)carrierwavekilowatt-hourmeter,singleandthreepha
5、sedualratecarrierwavekilowatt-hourmeter,singleandthreephaseprepaidcarrierwavekilowatt-hourmeter,carrierwavemodule.二、合作方式2.Waysofcooperation2.1甲方按照乙方需求设计提供符合要求的全套载波电表设计、生产、调试技术方案，乙方按照方案生产整表。集中器、载波模块、MCU芯片、软件由甲方负责提供。2.1.PartyA,inaccordancewiththeneedsofPartyB,shalldesignandprovidethewholesetofcarrierw
6、aveammeterdesign,productionandtestingtechnicalsolutionsmeetingtherequirements;andthePartyB,accordingtothesolutionsmadeabove,shallcarryouttheproductionofentiremeter,whilethePartyAshallprovideconcentrator,carrierwavemodule,MCUchipandsoftware.五、双方的权利义务5.Rightsandobligationsofbothparties5.1甲方负责技术支持和前期产品
7、调试指导，合作前期必要时甲方派专人去现场进行技术指导。5.1PartyAisresponsiblefortechnicalsupportandproductSpre-debuggingguidance,andPartyAshallsendspecially-assignedpersontothesitefortechnicalguidancewhennecessaryintheprophaseofcooperation;5.4合作后期，甲方负责提供载波模块、集中器、系统软件；乙方负责自行设计生产载波电表整表及系统的调试和服务。5.4Duringthelatecooperationperiod,
8、PartyAshallberesponsibleforprovidingthecarrierwavemodule,concentratorandsystemsoftware;andPartyBshallberesponsibleforthedesignandproductionofthewholecarrierwaveammeterandthedebuggingandserviceofthesystem.六、技术及其他约定6.Technicalandotherconventions6.2甲方向乙方提供单三相电度表PCB板的外形寸图。6.2PartyAshallprovidePartyBwith
9、thesingleandthreephasekilowatt-hourmeter,SPCBboardoutlineinchmap.H、适用法律ILApplicableLaw本协议的一切条款,按国现行有关法令和条例执行。在本协议生效之后,由于国家颁布新的法律、法令、条例，或对原有的条款进行了修改，致使甲方或乙方的经济利益发生变化，应及时协商，并对本协议的有关条款作为必要的修正或调整，以维护各方的正常经济利益。Alltermsofthisagreementshallbeimplementedinaccordancewiththerelevantdecreesandregulationsof.Aft
10、erthisAgreementcomesintoforce,theeconomicinterestsofnewlaws,decrees,regulationsortheamendmentoftheoriginalprovisionsofPartyAorPartyBshallbechanged,whichshallbetimelynegotiated,andtherelevantprovisionsofthisagreementshallbeamendedoradjustedasnecessarytosafeguardthenormaleconomicinterestsofallparties.
