SCOPEOFWORK5.工作范围TheErectiontobecarriedoutbytheContractorshallbeallasdefinedinthisContract.TheContractorshallprovideandsuppl
9、yanddoanythingthat,intheopinionofCustomerzmayberequiredfortheexecutionoftheErectionwhetherthesamemayormaynotbeshownontheContractand/ordrawingsorparticularlydescribedintheSpecificationsprovidedthesameistobeinferredtherefrom.承包商所从事的安装应完全按照本合同的规定执行。承包商应提供、供应和实施任何业主认为执行安装需要的物品和工作，无论其是否在合同和/或图纸上表明或明确地在规范

EXAMINATIONOFMILLSITEANDMILL6.对工厂现场和工厂的检查6.1 TheContractordeclaresthathehascarefullyexaminedtheMill,theMillSiteandsurroundingareasoftheMillwithservicesandfacilitiesandisfullyawareofrelevantsiteconditionsaffectingtheexecutionoftheErection.TheContractPricehasincludedallthecos
11、tsandexpensesthatmaybeincurredbytheContractor.6.2 承包商声明其已仔细检查过工厂、工厂现场和有关服务与设施的工厂邻近地区，并且他已完全知晓了有关影响安装执行的场地条件，合同价格已涵盖了承包商所有可能的成本和费用的支出。9.AMOUNTOFERECTIONWORK9.安装工程的数量TheCustomerdoesnotzexpresslyorbyimplication,guaranteethattheactualamountsoftheErectionWorkormaterialofanyclasswillcorrespondtotheSpecifi
12、ca-tionsanddrawingsherewith.TheCustomerreservestherighttoincreaseordecreasetheamountsofanyclassorportionoftheErectionWorkasmayinhisopinionbenecessary.TheContractorshallmakenoclaimforanticipatedprofits,forlossofprofits,fordamagesorotherwise,becauseofanydifferencebetweentheamountsofErectionWorkactuall
13、ydoneormaterialsfurnishedandtheestimatedamountassetforthinthisContract.TheContractorshallbearanycostsinrelationtoprovidingextraErectionWorkormaterial,andnoclaimcanbemadeagainsttheContractorfortheextracosts.业主（明示或暗示地）不保证安装工作或任何一类材料的实际数量将与本合同所附的规范和图纸一致。业主保留在其认为必要时增加或减少任何一类或一部分安装工程的数量的权利。承包商不得因实际完成的安装工
14、作或提供的材料的数量与按本合同规定预计的数量之间存在任何差异而就预期利润、利润损失、遭受的损害或其它事项提出任何索赔。承包商应承担任何与该等额外安装工程或材料有关的任何费用，不得向业主主张该等额外费用。11TENDERDRAWINGS11.招标图纸TheContractoragreeswiththeCustomerthatthedrawingsincludedhereinanduponwhichtendersandlumpsumpricesarebasedareinsufficientdetailtoindicatetheclass,complexityandtheamountofthewor
15、kbutshallnotbeacceptedbytheContractorasfinaldrawingsoftheErectionWorktobecarriedout.承包商与业主一致同意本合同中所附的、且作为投标和总价基础的图纸已足够详细地表明了工作的类别、复杂程度和工作量，但承包商不能把它视为将要执行的安装工作的最终图纸。14.CONTRACTORSEQUIPMENT14.承包商的设备TheContractorshallsupplyandprovideallequipmentrequiredduringtheperformanceoftheContractandinconnectionwi
16、thExtraWorkassetforthherein.SuchequipmentandtheContractorsworkmethodsandorganisationforhandlingtheErectionWorkshallbesuchastosecureasatisfactoryqualityoftheErectionWorkandarateofprogresswhichintheopinionofCustomerwillensurethecompletionofthevariousitemsofErectionWorkinaccordancewiththetimeschedule.承
17、包商供应和提供履行合同期间所需的以及与本合同规定额外工作相关的所有设备。该设备以及承包商的工作方法和管理安装工作的组织机构应能保证安装工作达到令人满意的质量，并以业主认为可以确保安装工作的各个项目按照时间进度表完工的进度速率实施。30. MATERIALSANDWORKMANSHIPTOBEOFBESTQUALITY31. 材料和工艺应达到最优质量TheErectionWorkshallbedoneinaworkmanlikemannerwithmaterialsandworkmanshipofthebestqualityandinstrictconformitywiththeprovisio
18、nsofthisContractandgoodEngineeringpractice,includingconformancetolocalstatutoryregulations/act.AllmaterialsshallbenewzcomplywithCustomerrequirementsandstandardsandpurchasedfromvendorsacceptabletotheCustomer.安装工作应采用最优品质的材料和工艺以精良的技术完成，并严格遵照本合同的条款和优秀的工程设计操作执行，包括遵守当地的法定规章/法案。所有的材料应是全新的，符合业主要求和标准的，并且是从业主
19、认可的供应商处购买的。32. ERECTIONINSPECTION31.安装检查31.1 Whentheinstallationofapieceorpiecesofequipmenthasbeencompleted,theContractorshalladviseCustomerinwritingthatthereferenceequipmentisreadyforErectionInspection.31.2 当某一设备或几个设备安装完成后，承包商应以书面方式通知业主相关设备已准备好接受安装检查。31.3 TheContractor,vendorsandCustomershallprovid
20、enecessarypersonneltodotheErectionInspection.31.4 承包商、供应商和业主应提供必要的人员共同参加安装检查。47.MODIFICATIONSOFCONTRACT47.合同的修改ThisContractwhenexecutedbythePartieshereto,shallconstitutetheonlyagreementbetweenthePartiesinconnectionwiththeErectionWorkcoveredbythisContract,andshallbebindinguponthem.Nomodificationofthi
21、sContractshallbebindinguponthePartiesheretoanduponeitherofthemunlessthesaidmodificationshallbeinwritinganddulyexecutedbytheCustomerandtheContractor.本合同一经本合同签约方签署，即应构成由双方签署的关于本合同项下安装工作的唯一协议，并对双方都具有约束力。除非以书面形式做出并经业主和承包商适当签署，对本合同的任可修改均不对本合同签约方及其任意一方具有约束力。49. INTERPRETATIONOFCONTRACT49.合同的解释ThisContract
22、shallbeinterpretedasawholeandtheintentofthewholeinstrumentratherthantheinterpretationofanyspecialclauseshallgovern.IntheeventthepartieshavedifferentunderstandingstotheprovisionsoftheContracttheinterpretationbytheCustomershallprevail.对本合同进行解释时应将其视为一个整体，通过整个文件的意图而非某一特定条款进行解释。如果各方对合同条款的理解存在分歧，以业主的解释为准。50. ASSIGNMENTOFCONTRACT50.合同的转让ThisContractoranyinteresttherein,financialorotherwise,shallnotbeassignedbytheContractorwithoutthepriorwrittenconsentoftheCustomer.ThisContractshallnotbedeemedassetinbankruptcyoftheContractor.本合同或其中的任何财务或其它性质的利益，在未经业主书面同意之前,不能由承包商进行转让。本合同不能在承包商破产时被作为其资产的一部分。
