4、erbankForeignExchangeMarket(PBCCircular1996No.423)andothernormativedocumentstoregulateanddeveloptheinterbankRMBforeignexchangemarket(uinterbakRMB/FXmarketn);promotemarketintegrity,fairness,orderliness,andefficiency;件，制定本交易规则(以下简称andprotectthelegitimaterightsandinterestsof本规则)otheparticipantsoftheint
5、erbankforeignexchangemarket.Article2TheChinaForeignExchangeTradeSystem(uCFETS),underthesupervisionofthePeoplesBankofChina(TBCn)andtheStateAdministrationofForeignExchange(“SAFE”),operatesatradingplatformtoorganizetradeandbusinessmanagementfortheinterbankRMB/FXmarket;toprovidetrading,post-trade,inform
6、ation,training,andotherrelatedservices;tofacilitatetheoperationandtransmissionofmonetarypolicies;toreleasebenchmarkindicatorsrelatingtotheinterbankRMB/FXmarket;andtomonitormarketactivitiesandtakeactionstoaddressabnormaltradingbehaviors,amongothers.Article3ForthepurposesoftheseRules,“interbankRMB/FXm
7、arkermeansthemarketwherequalifiedinstitutionsconductRMB/FXtransactionsthroughCFETS.Article4OnshoreandoffshoreinstitutionsmaytradeintheinterbankRMB/FXmarketonlyaftertheyareapprovedbyCFETSasmembersoftheinterbankRMB/FXmarket(uMembersn).第二条中国外汇交易中心 （以下简称交易中心）在中国人 民银行和国家外汇管理局的监管 下提供交易平台，组织银行间人 民币外汇市场交易和业
8、务管理； 提供交易、交易后、信息、培训 等相关服务；为货币政策操作和 传导提供服务；发布银行间人民 币外汇市场相关基准指标；负责 市场监测和异常交易行为处理 等。第三条 本规则所称银行间 人民币外汇市场是符合条件的机 构之间通过交易中心达成人民币 外汇交易的市场。第四条境内外机构经交易 中心核准成为银行间人民币外汇 市场会员（以下简称会员）后才 能参与银行间人民币外汇市场交 易。第五条 符合会员条件的机 构之间不得在交易中心交易平台 （以下简称交易平台）之外达成 人民币外汇交易，包括即期和衍 生品交易。Article5TheinstitutionsthatarequalifiedforMemb
9、ershipshallnotconductanyRMB/FXtransactions(includingspottransactionsandderivativestransactions)onanyplatformotherthanthetradingplatformprovidedbyCFETS(uTradingPlatform).Article6ForthepurposesoftheseRules,“concludetransactionsmeanthatbothpartiestoatransactionconfirmthetermsofthetransactionandgenerate
10、thedealticketthroughtheTradingPlatform.Article7MembersthatengageinRMB/FXtransactionsshallobservetheprinciplesofopenness,equality,fairness,andgoodfaith.Fraud,insidertrading,exchangeratemanipulation,andotherviolationsoractsthatdisrupttheinterbankforeignexchangemarketorinjurethelegitimaterightsandinter
11、estsofmarketparticipantsareprohibited.Article8Membersshallstrictlycomplywithantimoneylaunderingandcounter-terroristfinancinglaws,regulations,andotherrelatedrules,anddulyperformtheirobligationsinanti-moneylaunderingandcounter-terroristfinancing.Article9MembersshallengageinRMB/FXtransactionsinreferenc
12、etotheChinaFXCode,FXGlobalCode,andotherbestmarketpractices,andshallestablishaninternalmanagementsystemandstrengthenfront-office,middle-office,andback-officemanagementasappropriatefortheirbusinesses.Chapter II MembershipManagement第六条本规则所称交易达 成指交易双方通过交易平台确认 交易要素并生成成交单。第七条会员从事人民币外 汇交易，应当遵循公开、公平、 公正和诚实信
13、用的原则。禁止欺 诈、内幕交易和操纵汇率等违法 违规、影响银行间外汇市场交易 秩序和损害市场参与者合法权益 的行为Q第八条会员应当严格执行 反洗钱和反恐怖融资法律法规以 及有关规定，切实履行反洗钱和 反恐怖融资相关义务。第九条会员从事人民币外 汇交易，应参照中国外汇市场 准则和全球外汇市场准则 (Global Code)等市场最佳实 践要求，结合本机构业务特点， 建立健全内部管理制度，加强前 中后台管理。第二章会员管理第十条本规则所称会员包 括做市机构和普通会员。做市机 构包括做市商和尝试做市机构。 做市商指经主管部门核准承担向 银行间人民币外汇市场持续提供 相应交易品种或交易币种的买卖Art
14、icle10ForthepurposesoftheseRules,Membersconsistofmarketmakersandordinarymembers.Themarketmakersconsistofmarketmakersandtrialmarketmakers.AmarketmakerisaMemberthatisapprovedbycompetentauthoritiestoprovidecontinuoustwo-wayquotesforthecorrespondingtradinginstrumentsortradingcurrenciesattheinterbankRMB/
15、FXmarketandtotradeatthequotedpriceswhenthespecifiedconditionsaremet.AMembermustapplytobeatrialmarketmakerforarelevanttradinginstrumentbeforeapplyingtobeamarketmakerforthatinstrument.Article11Membersincludeonshorebanks,onshorenon-bankfinancialinstitutions,onshorenon-financialenterprisesandotherqualif
16、iedonshoreinstitutions,aswellasqualifiedoffshoreinstitutions.Article12AnonshorefinancialinstitutionmayapplytoCFETSforSpotMembershipafterbeingapprovedbySAFEtoobtainthebusinessqualificationofRMB/FXsettlementandsale,andapplyforDerivativeMembershipafterbeingapprovedbySAFEtoobtainthebusinessqualification
17、ofRMB/FXsettlementandsaleandbyrelevantfinancialregulatoryauthoritiestotradederivativeinstrumentsuponsatisfactionoftheprescribedbusinessandtechnicalrequirements.Article13Aqualifiedonshorenon-financialenterprisemayapplytoCFETSforMembershipaftercompletingrelevantfilingswithSAFE,shallbecomeaMemberforthe
18、relevantinstrumentsuponsatisfactionoftheprescribedbusinessandtechnicalrequirements.双向报价义务，并在规定条件内 按所报价格成交的会员。会员申 请相应交易品种的做市商资格须 先申请成为相应交易品种的尝试 做市机构。第十一条会员包括境内银 行、境内非银行金融机构、境内 非金融企业等符合条件的境内机 构，以及符合条件的境外机构。第十二条境内金融机构经 国家外汇管理局批准取得结售汇 业务资格后，可向交易中心申请 即期会员资格；经国家外汇管理 局批准取得结售汇业务资格和相 关金融监管部门批准取得衍生品 交易业务资格后，可
19、向交易中心 申请外汇衍生品会员资格；在满 足相关业务技术规范条件下，成 为银行间人民币外汇市场相关产 品会员。第十三条符合条件的境内 非金融企业经向国家外汇管理局 备案后可向交易中心申请会员资 格，在满足相关业务技术规范条 件下，成为银行间人民币外汇市 场相关产品会员。第十四条符合条件的境外 机构可向交易中心申请会员资 格，在满足相关业务技术规范条 件下，成为银行间人民币外汇市 场相关产品会员。Article14AqualifiedoffshoreinstitutionmayapplytoCFETSforMembership,andshallbecomeaMemberoftheinterban
20、kRMB/FXmarketfortherelevantinstrumentsuponsatisfactionoftheprescribedbusinessandtechnicalrequirements.Article15Theapplication,modification,andterminationofMembershipshallbesubjecttotheapprovalofCFETS.ThetradingprivilegesofaMembershallbeasnotifiedbyCFETSinwriting.Article16Membersshallestablishaninter
21、nalmanagementsystem,aswellasaninternalcontrol,governance,andorganizationframeworkforforeignexchangetrading.Suchframeworkshallprovideforreasonabledivisionofduties,clearlydefinedresponsibilities,andclearreportinglines.Article17Membersshallestablishriskpreventionmechanisms,includingbutnotlimitedtotradi
22、nglimits,multi-levelauthorization,andcomplianceandinternalcontrolmanagement,andshalltakeeffectivemeasurestomonitorandmanagetherisksofforeignexchangetrading.Article18CFETSmay,inviewofmarketneeds,imposerequirementsonMembersinsuchareasasbusinessoperation,riskmanagement,andtechnicalsystems.Membersshallm
23、eetsuchrequirementsonanongoingbasis.第十五条会员资格的申 请、变更和终止，须经过交易中 心核准，会员的交易权限以交易 中心书面通知为准。第十六条会员应建立健全 内部管理制度，建立分工合理、 职责明确、报告关系清晰的外汇 交易内部控制治理和组织架构。第十七条会员应建立健全 风险防范机制，包括但不限于交 易额度限制、分级授权、合规内 控管理等，采取切实有效的措施 对外汇交易风险进行监控和管 理。第十八条交易中心可根据 市场发展，对会员的业务运作、 风险管理、技术系统等提出要 求，会员应当持续满足相关要 求。第十九条会员应指派合格 交易员代表其开展报价与交易， 并
24、对交易员的交易行为负责。经 交易中心培训并获由交易中心颁 发的交易员证书的交易员方可通 过交易系统进行外汇报价交易。Article19Membersshalldesignatequalifiedtraderstoissuequotationsandconducttransactionsontheirbehalfandbeliablefortheirtradingactivities.AtradermayissueforeignexchangequotationsandconductforeignexchangetransactionsthroughtheCFETStradingsystem(u
25、TradingSystemn)onlyafterreceivingtrainingby,andthetraderqualificationcertificatefrom,CFETS.Article20TheinterbankRMB/FXmarketrequiresreal-nameregistrationbyalltraders.Traderswhohavenotpassedreal-nameverificationarenotallowedtologontheTradingSystemforquotationandtrading.Article21Eachtradershallconduct
26、transactionswithinthescopeofauthorizationgrantedbytheassociatedMember,whoshallreviewandupdatesuchscopeinatimelymanner.Ifatraderresignsoristransferredfromhiscurrentposition,theassociatedMembershallpromptlycanceloradjusttherelevantsystempermissionsinrelevantsystemofCFETS.Article22Tradersshallusethecal
27、l-recordingtelephonesandtheemailaddressesprovidedbytheirassociatedMembers,theinstantmessagingtoolandrelevantsystemsprovidedbyCFETStoconducttrading-relatedcommunications.Theirworkemails,callrecordings,instantmessagesandrelevantrecordsshallbemonitored,retained,andsubjecttointernalsupervisionandinspect
28、ion.Tradersarestrictlyprohibitedfromusingtheirpersonalemails,socialmediaaccounts,unauthorizedinstantmessagingtoolsorothertoolstoconducttrading-relatedactivities.Article23Membersshallproperlyretainalltrading-relatedvoiceandelectroniccommunicationsrecords.Theretentionperiodshalldependonthenatureofthet
29、ransactionconcerned.Itshallbeaminimumof12monthsforgeneralvoiceandelectroniccommunicationsrecords,andbeextendedaccordinglyforforeignexchangeinstrumentsthathavealongerexpirydate.第二十条银行间人民币外 汇市场实行交易员实名制，未通 过实名认证的交易员不允许登录 交易系统进行报价交易。第二十一条交易员应在会 员机构授权范围内开展交易，会 员机构应及时审核更新交易员授 权范围。交易员离职或调动岗位 的，所在会员机构应及时取消或
30、 调整其交易中心相关系统权限。第二十二条交易员应当使 用会员机构统一配置的录音电 话、邮箱以及交易中心即时通讯 工具等系统进行交易沟通，其工 作邮件、通话录音、即时通讯信 息等应当监测留痕，并接受内部 监督检查，严禁交易员使用个人 外部邮箱、社交网络账户、未经 机构授权使用的即时通讯工具等 进行交易相关活动。第二十三条 会员应妥善保 存交易有关的电话和电子通讯的 沟通记录。保存期限应根据交易 性质决定，一般录音内容或电子 信息记录的保存期限至少十二个 月；部分履约时间较长的外汇交 易产品，应延长相关记录的保存 期限。第二十四条会员发生与银Article24Intheeventofanymate
31、rialmatterinconnectionwithinterbankRMB/FXbusinesses,theMembersconcernedshallkeepproperrecordsandpromptlyreportthesituationtoCFETS.Materialsmattersincludebutarenotlimitedtomajortradedisputes,arbitrationsandlitigations,materialchangesinoperatingconditions,andadjustmentsofexternalregulatorypolicies.Cha
32、pterIIITradeMarketArticle25TheinterbankRMB/FXmarketopensfrom9:30to23:30Beijingtime(regionaltradinghourstobeannouncedseparately),andisclosedonSaturdays,Sundays,andstatutoryholidaysofChina.Subjecttorecord-filingwithcompetentauthorities,CFETSmayadjustthetradinghoursinviewofmarketneeds.Noparticipantsmay
33、enterintotransactionsoutsidethetradinghours.Article 26 AccordingtotheauthorizationofthePBC,CFETScalculatesandpublishesthecentralparityrateforRMBagainstforeigncurrencies,referenceratefortheregionaltradingofRMBagainstforeigncurrenciesandotherbenchmarkindicators.Article 27 Membersmaysubmitquotationsand
34、conducttransactionsmanuallythroughtheCFETStradingterminals,ordosothroughtheautomatedmarketmakingAPIsandtradingAPIsprovidedbyCFETS.MembersshallcomplywithbusinessandtechnicalrequirementsofCFETSinrespectoftheTradingSystem,interfaces,andotherrelatedtechnologies.行间人民币外汇业务相关的重大 事项时，应妥善记录并及时向交 易中心报告相关情况。重大
35、事项 包括但不限于重大交易纠纷、仲 裁和诉讼，经营情况重大变化或 外部监管政策调整等。第三章交易市场第二十五条 银行间人民币 外汇市场交易时间为北京时间 9： 30-23： 30 （区域交易时间另 行规定），周六、周日及中国法 定节假日不开市。交易时间可根 据市场需求变化由交易中心报主 管部门备案后调整。交易双方不 得在交易时间外达成交易。第二十六条交易中心根据 中国人民银行授权，计算并发布 人民币汇率中间价、人民币外汇 区域交易参考价等基准指标。第二十七条 会员可通过交 易中心交易终端进行手工报价与 交易，也可使用交易中心提供的 自动化做市接口和交易接口参与 报价与交易。会员应遵守交易中 心
36、交易系统、接口等业务技术规 范。第二十八条会员报价交易 应遵循公平、善意、诚信原则，Article 28 Membersshallsubmitquotationsandconducttransactionsinafairmannerandingoodfaith.Quotesanddealtpricesshallbeeffectiveandreasonablemarketprices.Article 29 Membersshallestablishcreditrelationshiporacreditlinewiththeircounterpartiestotransactionorcentra
37、lclearingcounterpartiesbeforetrading.Article 30 Membersandtheircounterpartiestoderivativestransactionsshallexecutethespecifiedderivativemasteragreementbeforeengaginginsuchtransactions.Article 31 WhereaMembernegotiateswithanotherMemberonthetermsofRMB/FXderivativetransactionsviaanonshoremoneybrokingco
38、mpanyapprovedtoengageinsuchbrokerageactivitiesordirectlywitheachotherviaemail,instantmessagingtool,orotherchannels,bothMembersshallimmediatelyenterthetradinginformationintotheTradingSystemonatrasaction-by-transactiobasis.Thetransactionswillbeconcludedafterdealticketshavebeengenerated.Article 32 Each
39、dealticketgeneratedbytheTradingPlatformisawrittenlegalcertificateattestingtheconclusionofaRMB/FXtransactionandislegallybindingonbothpartiestothetransaction.Inthecaseofanyconflictbetweenotheragreementsofthepartiesandthetermsspecifiedonthedealticket,thetermsofthedealticketshallprevail.报价与成交价应为有效、合理的 市
40、场价格。第二十九条会员在开展交 易前应与交易对手方或中央清算 对手方建立授信关系或设置授信 额度。第三十条会员开展衍生品 交易前，应与交易对手签署规定 的金融衍生产品交易主协议。第三十一条会员之间通过 经批准从事人民币外汇衍生品经 纪业务的境内货币经纪公司或通 过电子邮件、即时通讯工具等渠 道直接协商人民币外汇衍生品交 易要素意向的，交易双方应即时 将逐笔成交信息录入交易平台， 生成成交单后达成交易。第三十二条交易平台生成 的成交单是人民币外汇交易达成 的书面法律凭证，对交易双方具 有法律约束力。交易双方其他约 定与成交单列明的交易要素相冲 突的，以成交单为准。第三十三条若交易相关日 期遇相关

42、tesettlementaccordingtothevaluedate,transactionamount,andothertransactiontermsspecifiedonthedealticket.Inspecialcircumstances,suchaswhereonepartyfailstoperformthepaymentobligationontimeorbothpartiesagreetonotcompletesettlement,bothpartiesshallpromptlyfilesuchsettlementirregularityandfollow-uparrange
43、mentswithCFETS,and,wherenecessary,providerelevantexplanationsandmaterialsasrequiredbyCFETS.Article 35 Inthecaseofaforcemajeureorunforeseenevent,breachoftheTradingSystem,orotherabnormalcircumstancesasidentifiedbyCFETS,CFETSmaydeclarethesuspensionofallorpartofthetradingactivitiesatCFETS,followingwhich
44、itshallfilethedecisionwithregulatoryauthorities.Uponeliminationoftheaforesaidfactors,CFETSmayresumetrading,inwhichcaseMemberswillbepromptlynotified.CFETSshallnotbeliableforthelossesarisingfromtheforegoingabnormalcircumstancesorfromthecountermeasurestakeninresponse.Article 36 CFETSprovidesMemberswith
45、tradingandrelatedservicesforafee.MembersshallpayrelevantfeesinfullandontimeaccordingtothefeeschedulepublishedbyCFETS.ChapterIVTradingMechanism第三十四条交易双方应根 据成交单约定的起息日、交易金 额等交易要素办理相关资金结 算。如发生因特殊情况导致交易 一方未按时履行支付义务，或双 方协商一致不结算等结算异常情 况，交易双方应及时将结算异常 情况及处理方式等信息向交易中 心备案，必要时应根据交易中心 要求提供相关说明及材料。第三十五条如遇不可抗 力、意外
46、事件、交易系统被非法 侵入或交易中心认定的其他异常 情况，交易中心可宣布全部或部 分暂停交易，并报监管部门备 案。上述因素消除后，交易中心 可决定恢复交易并及时通知会 员。因上述异常情况及采取的相 应措施造成的损失，交易中心不 承担责任。第三十六条交易中心按有 偿原则向会员提供交易及交易相 关服务，会员应当按照交易中心 公布的收费标准足额按时交纳相 关费用。第四章交易机制第三十七条银行间人民币Article 37 TheinterbankRMB/FXmarketsupportstradingmodesincludinganonymoustrading,bilateraltradingandma
47、tchingtrading.CFETSshallobtainapprovalfromormakefilingswiththecompetentauthoritiesbeforeofferingothertradingmodesattheinterbankRMB/FXmarket.Article38uAnonymoustrading0meansthetradingmodeinwhichamarketmaker,throughtheTradingPlatformandwithinthecreditlimitgrantedbythecentralclearingcounterparty,provid
48、esanonymousquotesthathavetradablepricesandspecifiedquantities;andthecounterpartiesconcludethetransactionsthroughone-clicktrading,ordermatching,anonymousrequestforquote,orothermethods.(I) ForthepurposeofthisArticle,one-clicktradingoruordermatchingmeansthatafteramarketmakeranonymouslyprovidesaquotetha
49、thasatradablepriceandspecifiedquantity,thetransactionisconcluded,bytheprincipleofprice-volume-timepriority,onceacounterpartyclicksonthequoteorsubmitsanorderwithamatchingquote.(II) ForthepurposeofthisArticle,uanonymousrequestforquotenmeansthatafterarequestfortransactionissentanonymouslytothemarketmakerthatquotesthebestpriceinthemarket,thetransactionisconclud
