1、工程合同中有关承包方联合体的条款（中英文对照）工程合同中有关承包方联合体的约定条款ARTICLEOFCONSORTIAOFCONTRACTORS联合体Consortium联合体各方应共同与发包人签订合同协议书。联合体各方应为履行合同向发包人承担连带责任。Thepartiesofconsortiumshouldcommonlyenterintoandconcludecontractagreementwiththeemployerandassumethejointandseveralliabilitiestotheemployerfortheperformanceofcontract.联合体协议经
2、发包人确认后作为合同附件。在履行合同过程中，未经发包人同意，不得修改联合体协议。ConsortiumSagreementwill,subjecttotheemployer7sconfirmation,deemasappendixtocontractandwithouttheemployer7sconsentduringperformance,noamendmentthereofbeallowed.联合体牵头人负责与发包人和监理人联系，并接受指示，负责组织联合体各成员全面履行合同。Thefounderorleaderofconsortiumshallberesponsibleforcontact
3、withtheemployerandthesupervisorandaccepttheinstructiontherefromzinadditiontoorganizeallpartiesofconsortiumforfullperformanceofcontract.IftheContractorconstitutes(underapplicableLaws)ajointventure,consortiumorotherunincorporatedgroupingoftwoormorepersons:如果承包商是由两个或两个以上当事人(依照适用法律)组成的联营体、联合体，或其他非法人团体：(
4、a) thesepersonsshallbedeemedtobejointlyandseverallyliabletotheEmployerfortheperformanceoftheContract;这些当事人应被认为在履行合同上对雇主负有连带责任.(b) thesepersonsshallnotifytheEmployeroftheirleaderwhoshallhaveauthoritytobindtheContractorandeachofthesepersons;and这些当事人应将有权约束承包商及每个当事人的负责人通知雇主.TheMembersherebyestablishajoi
5、ntventurebeinganunincorporatedassociationunderthenameof(nameofJV)orsuchothernameastheMembersshallunanimouslyagreefromtimetotime(hereinaftercalledthe“JointVenture)forthepurposesof:preparingandsubmittingtheProposaltotheClient;成员据此建立一个联合体，一个名叫(JV的名字)未合并在内的组合或这样其他的名字，应该有时为如下目的全体一致同意(下文中称联合体)：TheMembersh

8、isAgreementuntilawardoftheServicesAgreementtotheJVoruntilthisAgreementshallterminateinaccordancewithitsterms,whicheveristheearlierzthefollowingmattersshallrequiretheunanimousconsentoftheMembers:从本协议生效之日起，至服务协议授予联合体或本协议终止之日止，以先者为准，下列事项必须有所有成员达成一致：AlldocumentsproducedbyaMemberortheMembersinconnectionw
9、iththeProjectwhicharemadeavailabletopersonsotherthantheMembersshallbearthenameoftheJV.由各成员提交的将提交给成员之外的其他人的文件，均以联合体名义。由甲方牵头，乙方和丙方参加，组成联合体共同进行本招标项目的投标工作。PartyAasaleader,andPartyB,PartyCasmembers,formaCONSORTIUMtomakeajointbiddingfortheproject.为本次投标的主体单位，联合体以主体方的名义参加投标，联合体中标后，联合体各方共同与招标方签订合同，就本中标项目对招标方
10、承担连带责任。istheleadingpartyforthetender,andtheCONSORTIUMsubmitabidonthebehalfoftheleadingparty,iftheCONSORTIUMisawarded,allmembersoftheCONSORTIUMsignacontractwiththeemployerandassumejointandseveralliabilityfortheemployerontheproject.各方不得再以自己名义在本项目中单独投标。联合投标的项目责任人不能作为其它联合体或单独投标单位的项目组成员。因发生上述问题导致联合体投标成为废
11、标，联合体的其他成员可追究违约行为。Eachmembershallnotmakeabidinthisprojectinone,sownname.TheleadershallnotbeamemberofotherCONSORTIUMSorsolobidparty.IftheCONSORTIUMbidbecomesabandonedtenderduetotheproblemsabovezothermembersofCONSORTIUMcantakeactionsagainsthisbreach.和组成联合体，参加招标编号为一的项目共同投标,我单位现授权(联合体主办方名称)为本投标联合体主办方,联合
12、体主办方负责投标项目的一切组织、协调工作，并授权投标代理人以联合体的名义参加项目的投标，代理人在投标、开标、评标、合同谈判过程中所签署的一切文件和处理与本次招标有关的一切事务，联合体各方均予以承认并承担法律责任。(Thenamesofmembers),andformaCONSORTIUM,andmakeajointbidfortheprojectNo.,nowweauthorize(thenameofCONSORTIUM)astheleaderofCONSORTIUMandtheleaderisinchargeofallorganizationandcoordinationworkforbid
13、ding,andauthorizetenderagenttobidonthebehalfofCONSORTIUM,andthenallthemembersacknowledgeandbearlegaltheliabilityforalldocumentssignedandeventsdealtrelatingtothebidintheprocessofbidding,bidopening,biddingevaluationandcontractnegotiationbytenderagent.设计-建造-运行（DBO）合同承包方式是将设计、建造、设备长期运行（和维护）结合到一个合同中授予一个承包商（一般是具有设计-建造-运行合同要求所有技能的联营体或联合体）TheDBOapproachtocontractingcombinesdesign,construction,andlong-termoperation（andmaintenance）ofafacilityintoonesinglecontractawardedtoasinglecontractor（whowillusuallybeajointventureorconsortiumrepresentingalltheskillscalledforinaDBOarrangement）.
