5、一章总则Chapter1GeneralProvisionsWoltersKluwer威科先行Q法律信息库第一条为加强国有企业参股 管理,提升国有资本配置效率,维 护国有资产安全,促进混合所有制 经济健康有序发展,根据中华人 民共和国公司法中华人民共和 国企业国有资产法企业国有资 产监督管理暂行条例等有关规 定,制定本办法。Article1Withaviewtostrengtheningtheadministrationofequityparticipationbystate-ownedenterprises,improvingtheefficiencyofstate-ownedcapitala

6、llocation,safeguardingthesecurityofstate-ownedassets,andpromotingthehealthyandorderlydevelopmentofthemixed-ownershipeconomy,theseMeasuresareenactedinaccordancewiththeCompanyLawofthePeople,sRepublicofChina,theLawofthePeople,sRepublicofChinaonState-ownedAssetsofEnterprises,theInterimRegulationsfortheS

7、upervisionandAdministrationofState-ownedAssetsofEnterprisesandotherrelevantprovisions.第二条本办法所称国有企业Article2ForthepurposeoftheseMeasures,state-ownedenterprisesrefertotheenterprisesandtheirsubsidiariesin是指各级国有资产监督管理机构履whichthestate-ownedassetssupervisionandadministration行出资人职责的企业及其子企业,authoritiesatalll

13、quityoperationandinvestment,strengthenthesupervisionoverexaminationandapproval,improvetheinternalcontrolsystem,fulfillthemanagementresponsibilities,strengthenriskprevention,strictlypreventthelossofstate-ownedassetsandpromotethemaintenanceandappreciationofstate-ownedassets.(IV) Win-wincooperation.Iti

14、simperativetorespecttheautonomyofbusinessoperationofshareholdingenterprises,effectivelygiveplaytotheroleofshareholdersinsuchenterprises,stimulatethevitalityofvariousmarketplayers,andpromotethemutualcomplementarity,mutualpromotionandcommondevelopmentofcapitalwithvariousownerships.方股东作用,激发各类市场主体活力,推动各

17、toftheirrespectiveconditions,formulatemanagementsystemsand制度,按照出资关系和企业相关规carryouteffectivemanagementandcontroloverequityoperationandinvestment.第二章参股投资管理第六条严格执行国有资产投 资监督管理有关规定,坚持聚焦主 责主业,符合企业发展战略规划, 严控非主业投资,不得通过参股等 方式开展投资项目负面清单规定的 禁止类业务。参股投资金融和类金融企业, 应当符合金融行业准入条件,严格 执行国有企业金融业务监督管理有关规定。定对参股经营投资进行有效管控。C

18、hapter2ManagementofEquityInvestmentArticle6Itisimperativetostrictlyimplementtherelevantprovisionsonthesupervisionandadministrationofinvestmentwithstate-ownedassets,adheretofocusingonthemainbusinessforwhichtheenterprisesaremainlyresponsible,complywiththestrategicplanningforenterprisedevelopment,andst

19、rictlycontrolinvestmentinnon-mainbusiness.Itisnotallowedtocarryoutprohibitedbusinessspecifiedinthenegativelistofinvestmentprojectsbymeansofequityparticipationorotherwise.Fortheequityinvestmentinfinancialenterprisesandquasi-financialenterprises,theaccessconditionsforthefinancialindustryshallbemetandr

20、elevantprovisionsonthesupervisionandadministrationoffinancialbusinessofstate-ownedenterprisesshallbestrictlyimplemented.第七条充分开展尽职调查, 通过各类信用信息平台、第三方调 查等方式,审查合作方资格资质信 誉,选择经营管理水平高、资质信 誉好的参股合作方。不得选择与集团公司及各级子Article7Itisimperativetofullycarryoutduediligence,examinethequalificationsandcreditstandingofpart

22、shipincommoninterests)withleadersofthegroupcompanyanditssubsidiariesatalllevels.企业领导人员存在特定关系(配偶、子女及其配偶等亲属关系,以及共同利益关系等)的合作方。第八条结合经营发展需要, 合理确定持股比例和股权结构。达 到一定持股比例的参股投资,原则 上应当享有提名董事的权利。不得以股权代持、”名为参股合作、实为借贷融资”的名股实债方式开展参股合作。Article8Theshareholdingproportionandequitystructureshallbedeterminedrationallyinli

23、ghtoftheneedofbusinessdevelopment.Wheretheequityinvestmentreachesacertainshareholdingpercentage,theshareholdershallbeentitledtonominatedirectorsinprinciple.Shareholdingcooperationshallnotbeconductedbymeansofholdingsharesonbehalfofothers,loanandfinancinginthenameofshareholdingcooperation1andotheractu

24、aldebtsinthenameofequityparticipation.第九条按照法律法规等有关 规定,协调推进各方股东在参股企 业章程中明确各治理主体的设置和 权责边界,促进参股企业建立权责 法定、权责透明、协调运转、有效 制衡的公司治理机制,建立健全中 国特色现代企业制度。第十条通过投资协议或参股 企业章程、议事规则等制度文件, 依法合规、科学合理约定各方股东 权利义务,并结合实际明确分红 权、人员委派、高级管理人员薪酬 激励、审计监督、信息披露、安全 生产、特定事项否决权及股权退出 等重点事项,避免对参股股权管理失控,有效维护国有股东权益。Article9Itisimperative

25、to,inaccordancewithrelevantprovisionsoflawsandregulations,coordinateandpromoteallshareholderstospecifythesettingofvariousgovernancebodiesandboundariesofrightsandresponsibilitiesinthearticlesofassociationoftheshareholdingenterprises,promotetheshareholdingenterprisestoestablishcorporategovernancemecha

26、nismscharacterizedbystatutoryrightsandresponsibilities,transparencyofrightsandresponsibilities,coordinatedoperationandeffectivechecksandbalances,andestablishandimprovethemoderncorporatesystemwithChinesecharacteristics.Article10Itisimperativetostipulatetherightsandobligationsofallshareholdersinalawfu

27、l,compliant,scientificandreasonablemannerthroughtheinvestmentagreementorarticlesofassociationoftheshareholdingenterprises,rulesofprocedureandothersystemdocuments,andclarifythekeymatterssuchastherighttosharedividends,appointmentofpersonnel,remunerationandincentiveofseniorexecutives,auditsupervision,i

28、nformationdisclosure,safetyproduction,vetoonspecificmattersandequityexitinlightoftheactualsituation,soastoavoidthelossofcontrolofshareholdingmanagementandeffectivelysafeguardtherightsandinterestsofstate-ownedshareholders.第十一条严格落实国有资产 投资监督管理有关要求,健全参股 投资决策机制,强化投资决策统一 管理。参股投资决策权向下授权应当作为重大经营管理事项经党委 (党组)

29、前置研究讨论,由董事会或 未设董事会的经理层决定,授权的 企业管理层级原则上不超过两级。达到一定额度的参股投资,应当纳 入“三重一大”范围,由集团公司 决策。Article 11 Itisimperativetostrictlyimplementtherelevantrequirementsforsupervisionandadministrationofinvestmentwithstate-ownedassets,improvethedecisionmakingmechanismforinvestmentinequityparticipation,andstrengthentheunifi

30、edmanagementofinvestmentdecision-making.Thedownwardauthorizationofdecision-makingauthorityinequityparticipationshallbestudiedanddiscussedbythePartycommittee(leadingPartymembersgroup)inadvanceasmajoroperationandmanagementmattersandshallbedecidedbytheboardofdirectorsorthemanagementwithouttheboardofdir

31、ectors.Inprinciple,themanagementoftheauthorizedenterpriseshallnotexceedtwolevels.Anyequityinvestmentthathasreachedacertainamountshallbeincludedinthescopeofthreemajormattersandtheuseoflargesumsofmoney*tobedecidedbythegroupcompanyconcerned.第十二条国有企业作为参股 股东与其他股东共同出资新设企 业,不得对其他股东出资提供垫 资,不得先于其他股东缴纳出资, 另有规

32、定的除外。以非货币性资产作价出资的, 应当以公允合理的方式确定国有资Article 12 Whenmakingcapitalcontributiontoanewlyestablishedenterprisejointlywithothershareholders,astateownedenterpriseshallnotprovideadvancecapitalforthecapitalcontributionofothershareholders,norshallitmakecapitalcontributionbeforeothershareholdersmakecapitalcontri

33、bution,exceptasotherwiseprovided.Ifnon-monetaryassetsareusedascapitalcontribution,thevalueofthestate-ownedassetsshallbedeterminedinafairandreasonableway.Whereanyothershareholderfailstomakecapitalcontributionasagreed,thestate-ownedenterpriseshalltimelyunderstandthesituationandtakeeffectivemeasurestop

39、nalqualityandcapacitytoperformtheirduties.Article15Thepersonnelappointedbyastate-ownedenterprisetoashareholdingenterpriseshallperformtheirdutiesdiligentlyandearnestly,urgetheshareholdingenterprisetoconveneshareholders(general)meetingsandboardmeetingstostudyandmakedecisionsonrelevantmattersaccordingt
