11、ces any previous bid interpretations or future updates. All provisions (including any contractual and economic contents) of this document, relevant technical specifications and the annexes of this document shall be observed strictly. If a bidder requires the bidderee to clarify the content of the bi
12、dding document, the bidder shall send an email to the purchasing coordinator or technical coordinator of the bidderee at the email address specified in the bidding document. The bidderee shall reply on all issues clarified before 17:00(time) of ay. 3th,2012 (date). A copy of the reply shall sent to
13、all bidders that have obtained the bidding document. The reply has the same legal force as the bidding document. 15、s:投标人必须是具有独立法人资格的机构（单位），并对按投标承诺书的内容对本次投标的全部内容承担法律责任。A bidder must be an organization (company) with independent legal representative qualification and shall take all legal responsibilities for all contents regarding this bidding project according to the content of the letter of bid commitment.（不允许）投
16、标方中标后将本次投标的图书供应项目分包给其它企业供货。(Not allowed) The bid winner can subcontract this project to a third party.（允许）联合投标。允许联合投标，必须确定其中一个单位为投标的委托代理人参加投标活动，并承担投标及履约中应承担的全部责任与义务。当联合投标时，须向招标人提交联合各方签订的联合投标协议书，联合投标协议书和招标文件对所有联合投标人在法律上均有约束力。(Allowed) Joint bid. If joint bid of multiple companies is allowed, one comp
17、any shall serve as the power of attorney for the bid and shall take all legal responsibilities and obligations concerning the bid and contract fulfilment. When performing the joint bid, the companies shall submit a Joint Bid Agreement signed by all of them to the bidderee. Both the Joint Bid Agreeme
18、nt and the bidding document have legal binding on all these companies.4.3、投标文件要求：Requirements on bid documents:标书要求的语言为中文（有英文更好）。投标书的正本和副本均需采用A4纸用不褪色的墨水书写或打印并装订成册，每份投标书应加盖有投标人单位公章且经法定代表人或委托代理人签字（或盖章）。投标文件的书写应清楚工整，凡修改处由投标委托代理人盖章。A bid document shall be in Chinese （Including English is preferred）. The
19、 original and copy of the bid document shall be A4 paper with contents written by using fadeless ink or printed and bound in a volume. Each bid document shall be stamped with the bidders company chop and signed (or sealed) by the legal representative or his/her power of attorney. The handwriting of
20、the bid document shall be legible and neat; alterations shall be affixed with seal by the bidders power of attorney. 投标文件应准备一式四份书面文件及一份电子文件标书：四份完整的没有价格的技术标书和四份完整的经济标书。电子标书文件通过电子光盘或U盘提交，电子标书文件与书面文件应该一致，不一致时，以书面文件正本为准。The bid document shall be in in quadruplicate (four complete technical bid letters w

22、id document content5.1、经济标书内容：Content of an economic bid letter:1）投标函：（见附件1）Bid letter (see Annex 1)2）投标报价表：（见附件2）Bid quotation table (see Annex 2)报价内容包括不限于：付款方式、交付条款等，本次报价币种为 人民币 ，单位为 元 ，投标报价序号须与招标采购明细表中的分项内容的序号一致，同一规格型号投标报价只能有一个确定的金额（包含相关税费等）且报价完整（即不能出现项目遗漏）。投标人应保证投标总价与投标单价数目对应无误，招标人在评标时以投标总金额为准进行
23、评标。A bid quotation includes but is not limited to: terms of payment, terms of delivery, etc. The quotation shall be in CNY (currency), expressed in Yuan (unit). The quotation number shall be consistent with the item number in the purchasing BOM table. The quotation of the bid with the same specifica
24、tions shall be a fixed amount (containing all tax and related cost) and the quotation shall be complete (no items shall be omitted). The bidder shall ensure that the total bid price equals the unit price multiplies the number of items. When evaluating the bid, the bidderee shall evaluate the bid bas
25、ed on the total bid price. Payment Schedule & Terms 付款时间及条款Invoicing Plan: 付款计划o 分批次到货，每批验收合格（包含图书和售后服务）后支付当批金额的100%；100% shall be paid about each batch;o 发票类型：13% VAT；should be with 13% VAT;o 付款条款：货物验收合格及收到有效增值税专用发票后30天内Payment Terms: 100% shall be paid within 30 days after final acceptance and rec

30、id opening, bid evaluation, and bid winning1、招标方将于2012年6月5日13：30在 采购部会议室召开开标会议，要求投标方法定代表人或其委托代理人按时出席。每个投标方出席开标会议人数不超过3人。The bidder will hold the bid opening meeting on June.5th 2012 at 13:30 (time) in purchasing meeting room of GAC FIAT, which requires the on-time presence of each bidders legal repr
31、esentative or his/her power of attorney. The number of persons present in this meeting from each bidder shall not exceed three.2、招标方可按采购物资的规格型号综合评议并按适当分拆比例确定多家中标单位。如投标方的投标价格明显与市场价格不符且不能做出合理说明，或投标方提供的物资不能满足招标方的要求，招标方可将该投标人的投标做废标处理。The bidderee shall, according to the specification/model of the suppli
32、es to be purchased, comprehensively evaluate the bids and determine multiple bid winners on a segmental basis. If a bidders quotation varies from market prices drastically while the bidder cannot explain the reason or the bidders supplies cannot meet the bidderees requirements, the bidderee can reje
33、ct the bidders bid.3、招标方在评标过程中，评标委员会可随时要求投标人对投标书进行答疑和说明。During bid evaluation, the bid evaluation committee can, at any time, ask a bidder to answer questions or explain.4、招标方确定中标单位，并发出中标通知书，同时将结果通知其它投标单位。After having determined the bid winners, the bidderee shall send bid winning notices to the bid
34、 winners and shall also inform the other bidders of the bidding result.5、中标通知书发出之日起10个工作日内，中标人须与招标人签订正式的买卖合同及相应的技术、质量、保密和服务协议。Within 10 working days after the bid winning notices are sent, each bid winner shall sign with the bidderee a formal sales contract and relevant technology, quality, non-disc
35、losure, and service agreements.七、其它要求：Other requirements:1、答疑：招标书发出后，投标人可以书面提出疑问，招标人将在接到质疑的1个工作日内以书面形式答疑。书面答疑也将成为招标书的构成部分。Answering questions: After the bidding document is sent, each bidder can ask questions in writing. The bidderee shall answer the questions in writing within one working day after
36、 the receipt of the questions. The answers to such questions are also part of the bidding document.2、标书中如有未尽事宜，招标人将在投标书投递截止时间的24小时前，以招标书补遗的方式，书面通知投标人，招标书补遗也是招标书的一部分。If any necessary information is not provided in the bidding document, the bidderee shall, within 24 hours before the deadline of bid do
37、cument submission, inform each bidder of the supplemented information in writing. The supplemented information is also part of the bidding document.3、本报价要求文件必须被严格保密。The quotation mentioned in the bidding document shall be kept highly confidential.4、供应商未经书面许可而泄露这份文件的内容，将导致其失去投标资格。If a supplier disclo
38、ses the content of the bidding document without written consent of the bidderee, the supplier shall be disqualified for the bid.5、我们要求，供应商必须归还或者销毁此报价文件。此文件为我司专有，未经我方书面许可，不得向任何第三方泄露其中的内容。We require that each supplier shall return or destroy the quotation file. This file is GAC FIATs proprietary asset
39、s and shall not be disclosed to the third party without GAC FIATs written permission.6、我司相信本文件中的信息应该是正确的。但是对文件中出现任何差异、缺失和不准确，我们将不承担责任。We deem that the information in this document is correct but we are not liable for any difference, missing or inaccuracy of the information.7、我们保留与任何或所有投标者谈判和不谈判的权利；我
