RECUTALS a. Both parties desire to join together for the pursuit of common busines

13、 B in XXXX. - Provide the full documentations of Chinese companies to conduct business in XXXX. - Ensure the authenticity and legality of all the documentation provided by the Chinese companies. - As authorized by Party B, Party A is responsible to the signing and interpretation of various documents
14、 for mutual business. - Assist Party B to conduct the business promotions and publicities in China. Party B - Party B shall provide all the financial support on their business in China; it includes business initiation, management and promotion. - As Party A shall refer the Chinese Companies to Party

Party B shall provide these companies the consultant services regarding legal, audition, taxation, financial, risk management, accounting and other related areas. - In order to establish the intensiveness business co-operation. Party B shall provide all the business related documents, informatio
16、n, legal acts and governmental information in XXXX for the reference of Party A. - Party B shall provide a systematic training course on XXXX businesses SOP (Standard Operation Procedure), XXXX law & Tax regulations and IIM Billing system for Party A employees. 二 责任与义务 甲方 - 甲方根据乙方所提供的XXX业务进入标准、投
17、资环境以及税收政策，为乙方推荐中国国内优质企业到乙 方公司开展业务。 - 提供中国公司在XXXX进行业务所需的所有文件。 - 确保中国公司文件的真实性、合法性。 - 负责乙方在中国业务各种文件的签署、解释工作。 - 协助乙方在中国展开相关业务的推广及宣传。 乙方 - 乙方将提供其相关项目的所有开展、管理及推广业务的资金。- - - 甲方所推荐到XXXX地区的企业，乙方须为其提供后续的经营、管理、法律法规咨询、会计及其他相关的顾问服务工作。 乙方根据甲方在中国开展业务的需要，提供一系列必要的宣传类资料，包含当地的税收政策、投资环境分析、乙方公司的官方宣传材料等。 乙方须向甲方特定人士进行XXXX
18、当地业务的标准操作步骤、政府法律/税则规定及IIM收费系统的培训 课程。 3. COMMUNICATION STRUCTURE For a better future business development, Party A and Party B shall establish a regular meeting schedule for the business assessment, business flow and information exchange. 三 业务沟通交流机制 为了将来更佳的业务拓展，甲、乙双方须定时展开会议，进行业务发展的评估、流程及信息交流。 4. CONV
19、ENANT AGAINST REVEALING TRADE SECRETS No party shall, during the continuance of the co-operation relationship or for 5 years after its termination by any means, divulge to any person not a member of both firms any trade secret or special information employed in or conductive to the co-operation busi
20、ness and which may come to the both partys knowledge in the course of the co-operation relationship, without the consent in writing of the other party, or of the other partys heirs, administrators, or assigns. 四 保守商业秘密的承诺 在甲、乙双方展开合作业务的存续期间或无论以何种方式终止合作业务后5年内，如果没有其他合伙人或其继承人、管理者或受让人的书面同意，任何合伙人不得向非公司成员泄
21、漏任何商业秘密或有官合作业务采用或有助于合作业务的信息，在合作业务的运营过程中，该信息可能会成为合作双方的专有知识。 5. DURATION OF AGREEMENT The term of this agreement shall be for 1 year, commencing on DATE, and terminating on DATE, unless sooner terminated by mutual consent of the parties or by operation of the provisions of this agreement. 五 协议期限 本协议期限
22、为1年，从2011年x月x日开始到2012年x月x日结束，除非甲、乙双方同意或本协议条款规定可终止该协议。 6. GOVERNING LAW The enforcement and interpretation of this agreement shall be governed by the laws of THE PEOPLES REPUBLIC OF CHINA. 六 法律适用 本协议的实施和解释适用于中华人民共和国法律。 7. RESOLUTION OF DISPUTES Any dispute arising out if or in connection with this Ag
23、reement, shall be governed and construed by the laws of the PEOPLES REPUBLIC OF CHINA in CHINA INTERNATIONAL ECONOMIC AND TRADE ARBITRATION COMMISSION, and shall be referred to and finally resolved by China Beijing District Court, P.R.C. 七 争议的解决方案及管辖 所有因履行本协议引起的，与之相关的或不能够通过协商解决的争议及纠纷，任何一方均可将争议提交中国国际
24、经济贸易仲裁委员会，并且依照中华人民共和国规定，在北京通过仲裁的方式进行解决。 8. PREVAIL OF LANGUAGE VERSION Any contradiction between Chinese and English version, Chinese version shall prevail. 八 中文及英文版本间的效力 所有因中、英文版本引起的矛盾及争议，以中文版本为准。 9. OTHER PROVISION Both parties will be based on actual needs of the business co-operation to sign the
25、 specific business contracts and execute accordingly. 32、流，并共同承办相关的重大会议，共享彼此信息。 International Communication: Part A and Part B will co-operate in organizing important meeting and conferences, or participate in the geo-spatial info related business communication and academic exchange, and share the information with each other. 二、 合作方式 Manner of Co-operatio
33、n 1、甲乙双方共同建立高层定期沟通制度，保证各项工作的顺利开展. Both Parties will mutually develop periodical management communication system to ensure smooth development of co-operation business. 2、甲乙双方各自认定对方为其在对方所在国的战略合作伙伴；为共同项目合作成功而努力。 Both Parties will recognize another party as the strategic partner in its own territory and
34、 strive for the success on co-operation business.3、甲乙双方同意，在本协议有效期内，一方可以使用另一方所有合作项目中拥有合法著作权或者合法授权的文字、音频、图像等资源，如果一方在其网站上使用另一方这些内容时，该方须标明内容来自另一方。 Both Parties agreed, in this agreement validity period, one party can use another partys legally licensed documents and legally authorized wordings, sound tr
35、acks and pictures, resources and etc. If another party uses these kinds of resources in his own website, the source of information should be clearly stated. 4、涉及商务考察和项目运作费用，以及利润分配等方面，甲乙双方可通过签定具体项目合同予以解决。 Regarding the expenses and profit sharing for the Business Investigation program and specific co

38、own duties. 四、 甲乙双方均认可本协议是对双方合作的一种框架性安排，涉及到具体项目再另 行签订相关合同书。 Both Parties fully recognize that this agreement only serves as a framework of co-operation. For the details of individual co-operation project, another independent agreement will be agreed and signed. 五、 未尽事宜双方协商解决。 For the matters not men
39、tioned in this agreement, both parties will mutually discussthem. . 六、 本协议有效期为1年，从 2011年7 月 1 日始至2012 年 6 月 30 日止。协议期满，甲乙双方另行协商续签。 This Agreement is valid from 2011-7-1 to 2011-6-30. Upon expiry, both Parties will discuss about the renewal issue. 七、 本协议一式两份，甲乙双方各执一份，签字盖章即具法律效力。 This Agreement is written in both Chinese and English languages and two copies have been printed for both parties to have one each.
