1、2005 STOCK INCENTIVE PLAN2005年股权激励计划1. Purposes of the Plan. The purposes of this Plan are to attract and retain the best available personnel, to provide additional incentives to Employees, Directors and Consultants and to promote the success of the Companys business.1. 目的 本计划旨在吸引和留住最佳人才,向雇员、董事和顾问提供

2、额外激 励,并促进公司业务的成功开展。2. Definitions. The following definitions shall apply as used herein and in the individual Award Agreements except as defined otherwise in an individual Award Agreement. In the event a term is separately defined in an individual Award Agreement, such definition shall supersede the

3、 definition contained in this Section2.2 定义 以下定义适用于本股权激励计划和个人的奖励协议,个人奖励协议另有规定的除外。若个人奖励协议另行对某个术语作出了定义,则该定义应取代本第2条之定义。(a) “Administrator” means the Board or any of the Committees appointed to administer the Plan.(a) “管理人”是指董事会或任何被指定管理本计划的委员会。(b) “Applicable Laws” means the legal requirements relating

4、to the Plan and the Awards under applicable provisions of the corporate and securities laws of the Cayman Islands, the Code, the rules of any applicable stock exchange or national market system, and the rules of any jurisdiction applicable to Awards granted to residents therein.(b) “适用法律”是指开曼群岛公司法与证

5、券法之适用规定、税法典、有关证券交易所或全国市场系统的规则和适用于对其区域内居民给予奖励的司法管辖区域的法规中与本计划和奖励有关的法律规定。(c) “Assumed” means that pursuant to a Corporate Transaction either (i)the Award is expressly affirmed by the Company or (ii)the contractual obligations represented by the Award are expressly assumed (and not simply by operation o

6、f law) by the successor entity or its Parent in connection with the Corporate Transaction with appropriate adjustments to the number and type of securities of the successor entity or its Parent subject to the Award and the exercise or purchase price thereof which at least preserves the compensation

7、element of the Award existing at the time of the Corporate Transaction as determined in accordance with the instruments evidencing the agreement to assume the Award.(c) “认诺”是指依某一公司交易,(i)公司明确确认奖励,或者(ii)与该公司交易有关的继受实体或母公司明确承担(非仅依法律规定而承担)奖励所体现的合同义务,并根据奖励和奖励的行权价或购买价对继受实体或母公司的证券数目和证券种类进行适当调整,但调整后至少应保留根据认诺

8、奖励的协议文书确定的公司交易时奖励的补偿成分。(d) “Award” means the grant of an Option, SAR, Dividend Equivalent Right, Restricted Stock, Restricted Stock Unit or other right or benefit under the Plan.(d) “奖励”是指依据本计划授予的期权、股票增值权(SAR)、股息等值权、受限股票、受限股票单位或者其他权利或利益。(e) “Award Agreement” means the written agreement evidencing th

9、e grant of an Award executed by the Company and the Grantee, including any amendments thereto.(e) “奖励协议”是指由公司与被授予人签订的,证明授予奖励的书面协议及其任何修订。(f) “Board” means the Board of Directors of the Company.(f) “董事会”是指公司的董事会。(g) “Cause” means, with respect to the termination by the Company or a Related Entity of t

10、he Grantees Continuous Service, that such termination is for “Cause” as such term is expressly defined in a then-effective written agreement between the Grantee and the Company or such Related Entity, or in the absence of such then-effective written agreement and definition, is based on, in the dete

11、rmination of the Administrator, the Grantees: (i)performance of any act or failure to perform any act in bad faith and to the detriment of the Company or a Related Entity; (ii)dishonesty, intentional misconduct or material breach of any agreement with the Company or a Related Entity; or (iii)commiss

12、ion of a crime involving dishonesty, breach of trust, or physical or emotional harm to any person.(g) “法定原因”是指被授予人与公司或关联实体订立的当时有效的书面协议所明确定义的,公司或关联实体据以终止被授予人持续服务的“法定原因”。或若没有此等生效书面协议和定义,则经管理人确定,“法定原因”基于被授予人以下行为:(i)有损于公司或关联实体的任何恶意作为或不作为;(ii)在与公司或关联实体签订的任何协议中实施欺诈、故意失职或根本违约;或者(iii)因欺诈、违反信托义务或对他人人身或精神造成伤害

13、而构成犯罪。(h) “Code” means the Internal Revenue Code of 1986, as amended.(h) “法典”是指1986年国内税收法典(修订本)。(i) “Committee” means any committee composed of members of the Board appointed by the Board to administer the Plan.(i) “委员会”是指董事会指定管理计划的董事会成员组成的任何委员会。(j) “Company” means , a company limited by shares inco

14、rporated in the Cayman Islands, or any successor entity that adopts the Plan in connection with a Corporate Transaction.(j) “公司”是指( ), 根据开曼群岛法律成立的股份有限公司,或者因公司交易而采用本计划的任何继受实体。(k) “Consultant” means any person (other than an Employee or a Director, solely with respect to rendering services in such per

15、sons capacity as a Director) who is engaged by the Company or any Related Entity to render consulting or advisory services to the Company or such Related Entity.(k) “顾问”是指公司或任何关联实体聘用的,为公司或该关联实体提供顾问或咨询服务的任何人(雇员或仅以董事身份提供服务的董事除外)。(l) “Continuous Service” means that the provision of services to the Comp

16、any or a Related Entity in any capacity of Employee, Director or Consultant is not interrupted or terminated. In jurisdictions requiring notice in advance of an effective termination as an Employee, Director or Consultant, Continuous Service shall be deemed terminated upon the actual cessation of pr

17、oviding services to the Company or a Related Entity notwithstanding any required notice period that must be fulfilled before a termination as an Employee, Director or Consultant can be effective under Applicable Laws. A Grantees Continuous Service shall be deemed to have terminated either upon an ac

18、tual termination of Continuous Service or upon the entity for which the Grantee provides services ceasing to be a Related Entity. Continuous Service shall not be considered interrupted in the case of (i)any approved leave of absence, (ii)transfers among the Company, any Related Entity, or any succes

19、sor, in any capacity of Employee, Director or Consultant, or (iii)any change in status as long as the individual remains in the service of the Company or a Related Entity in any capacity of Employee, Director or Consultant (except as otherwise provided in the Award Agreement). An approved leave of a

20、bsence shall include sick leave, military leave, or any other authorized personal leave. For purposes of each Incentive Stock Option granted under the Plan, if such leave exceeds three (3) months, and reemployment upon expiration of such leave is not guaranteed by statute or contract, then the Incen

21、tive Stock Option shall be treated as a Non-Qualified Stock Option on the day three (3) months and one (1) day following the expiration of such three (3) month period.(l) “持续服务”是指雇员、董事或顾问依其身份不间断地为公司或关联实体提供服务。若某司法辖区规定终止雇员、董事或顾问职务须提前通知,则在该辖区内,尽管依据适用法律,只有满足法定通知期限后,对雇员、董事或顾问职务的终止方可生效,持续服务仍然应当在上述人员实际停止向公

22、司或关联实体提供服务时视为终止。被授予人的持续服务,在其实际停止提供持续服务或者其服务的对象不再是关联实体时,即视为终止。以下情形下,不得视为持续服务中断(i)获准休假,(ii)雇员、董事或顾问的职位在公司、任何关联实体或任何继受实体之间调任,或者(iii)雇员、董事或顾问在公司或关联实体工作期间的职务变更(奖励协议另有规定的除外)。获准休假包括病假、兵役假或者任何其他获准的个人休假。对于依据本计划授予的每项激励性股票期权,如果休假超过三(3)个月,而无法律或合同保证休假届满其重新获得雇用,则该激励性股票期权在三个月期满后的三(3)个月零一(1)天视为非法定股票期权。(m) “Corporat

23、e Transaction” means any of the following transactions, provided, however, that the Administrator shall determine under parts (iv) and (v) whether multiple transactions are related, and its determination shall be final, binding and conclusive:(m) “公司交易”是指以下任何交易(但对于下述第(iv)项和第(v)项,管理人应确定多项交易是否属于关联交易,管

25、transfer or other disposition of all or substantially all of the assets of the Company;(ii) 出售、转让或以其他方式处置公司全部或实质性全部资产;(iii) the complete liquidation or dissolution of the Company;(iii) 公司完全清算或解散;(iv) any reverse takeover or series of related transactions culminating in a reverse takeover (including,

26、 but not limited to, a tender offer followed by a reverse takeover) in which the Company is the surviving entity but (A)the Ordinary Shares outstanding immediately prior to such takeover are converted or exchanged by virtue of the takeover into other property, whether in the form of securities, cash

27、 or otherwise, or (B)in which securities possessing more than fifty percent (50%) of the total combined voting power of the Companys outstanding securities are transferred to a person or persons different from those who held such securities immediately prior to such takeover or the initial transacti

28、on culminating in such takeover, but excluding any such transaction or series of related transactions that the Administrator determines shall not be a Corporate Transaction; or(iv) 公司为存续实体的任何反向收购或最终导致反向收购的一系列关联交易(包括但不限于而后又反向收购的要约收购),但是(A)收购前即时发行的普通股因该收购而被转换或置换为证券、现金或其他形式的财产,或者(B)代表公司已发行证券百分之五十(50)以上

30、 Rule 13d-3 of the Exchange Act) of securities possessing more than fifty percent (50%) of the total combined voting power of the Companys outstanding securities but excluding any such transaction or series of related transactions that the Administrator determines shall not be a Corporate Transactio

32、erm disability policy of the Company or the Related Entity to which the Grantee provides services regardless of whether the Grantee is covered by such policy. If the Company or the Related Entity to which the Grantee provides service does not have a long-term disability plan in place, “Disability” m

33、eans that a Grantee is unable to carry out the responsibilities and functions of the position held by the Grantee by reason of any medically determinable physical or mental impairment for a period of not less than ninety (90) consecutive days. A Grantee will not be considered to have incurred a Disa

34、bility unless he or she furnishes proof of such impairment sufficient to satisfy the Administrator in its discretion.(o) “伤残”指被授予人任职的公司或关联实体制定的“长期伤残政策”中定义的“伤残”,不论该政策是否适用于被授予人。如果被授予人任职的公司或关联实体没有长期伤残计划,则“伤残”指,被授予人由于任何医学上可鉴定的身体或精神伤害,至少连续九十(90)天不能履行其职位要求的职责。仅当被授予人就该伤害提供管理人满意的充分证明,方可视为伤残(p) “Dividend Equ

36、 control and direction of the Company or any Related Entity as to both the work to be performed and the manner and method of performance. The payment of a directors fee by the Company or a Related Entity shall not be sufficient to constitute “employment” by the Company.(q) “雇员”是指公司或关联实体雇用的,由公司或关联实体控

38、rdinary Shares are listed on one or more established stock exchanges or national market systems, including without limitation The Nasdaq National Market or The Nasdaq SmallCap Market of The Nasdaq Stock Market, its Fair Market Value shall be the closing sales price for such stock (or the closing bid

39、, if no sales were reported) as quoted on the principal exchange or system on which the Ordinary Shares are listed (as determined by the Administrator) on the date of determination (or, if no closing sales price or closing bid was reported on that date, as applicable, on the last trading date such c

40、losing sales price or closing bid was reported), as reported in The Wall Street Journal or such other source as the Administrator deems reliable;(i) 若普通股在一个或多个常设证券交易所或全国市场系统上市,包括但不限于纳斯达克全国市场或属于纳斯达克股票市场的纳斯达克小型资本市场,其公平市价应为评价日华尔街日报或管理人认为可信赖的其他信息渠道公布的该股票上市的主交易所或系统(由管理人决定)报出的该股票的收盘售价;若未公布交易达成,则为收盘买价;若该日既

42、ecurities dealer on the date of determination, but if selling prices are not reported, the Fair Market Value of an Ordinary Share shall be the mean between the high bid and low asked prices for the Ordinary Shares on the date of determination (or, if no such prices were reported on that date, on the

43、 last date such prices were reported), as reported in The Wall Street Journal or such other source as the Administrator deems reliable; or(ii) 如果普通股在自动报价系统(包括柜台交易公告牌/OTCBB)或由知名券商进行日常报价,其公平市价应为华尔街日报或管理人认为可信赖的其他信息渠道公布的该系统或该券商在评价日所报的该股票的收盘售价;但是若未公布售价,则普通股的公平市价应为在评价日华尔街日报或管理人认为可信赖的其他信息渠道公布的该普通股的高买价与低卖价的

46、Non-Qualified Stock Option” means an Option not intended to qualify as an Incentive Stock Option.(v) “非法定股票期权”是指激励性股票期权以外的期权。(w) “Officer” means a person who is an officer of the Company or a Related Entity within the meaning of Section16 of the Exchange Act and the rules and regulations promulgated
