1、SALES CONTRACTSALES CONTRACT (ORIGINAL) Contract No.: CE102 Date: Jun. 2, 20- Signed at: Qingdao Sellers: Sinochem Shandong Import & Export Group Corporation 20, Xianggangzhong Road, Qingdao, China Buyers: Pacific Trading Co., Ltd 1118 Green Road, New York, U.S.A. This Sales Contract is made by and
2、between the Sellers and the Buyers whereby the Sellers agree to sell and the Buyers agree to buy the under-mentioned goods according to the terms and conditions stipulated below:兹经买卖双方同意按照以下条款由买方购进,卖方售出以下商品 Name of Commodity Specifications & Quantity Unit Price Packing Lithopone ZnS content 28% min.

4、 110% of the invoice value against All Risks and War Risk as per the relevant Ocean Marine Cargo Clauses of the Peoples Insurance Company of China. 按照有关海洋运输货物保险条款,中国人民保险公司。 If other coverage or an additional insurance amount is required, the Buyers must have the consent of the Sellers before shipmen
5、t, and the additional premium is to be borne by the buyers. 4. Port of Shipment: Qingdao, China. 5.Port of Destination: New York, U.S.A. 6. Time of Shipment: During August, 20-, allowing partial shipments and transshipment. 7. Terms of Payment: The Buyers shall open with a bank acceptable to the Sel
6、lers an Irrevocable Letter of Credit at sight to reach the Sellers 30 days before the time of shipment specified, valid for negotiation in China until the 15th day after the aforesaid time of shipment.买方应以卖方可接受的银行开立不可撤销的即期信用证到达卖方在指定的装运期前30天,直到上述装运期后15天之内在中国议付有效 8. Commodity Inspection: It is mutuall
7、y agreed that the Certificate of Quality and Weight issued by the State General Administration for Quality Supervision and Inspection and Quarantine of P. R. China at the port of shipment shall be taken as the basis of delivery.双方一致同意由国家质量监督检验检疫总局p . r .中国签发的质量和重量证书应当作为在装运港交货的依据。 9. Discrepancy and
8、Claim: Any claim by the Buyers on the goods shipped shall be filed within 30 days after the arrival of the goods at the port of destination and supported by a survey report issued by a surveyor approved by the Sellers. Claims in respect to matters within the responsibility of the insurance company o
9、r of the shipping company will not be considered or entertained by the Sellers.买方对货物提出任何索赔应在货物到达目的港的30天内申请，并由卖家认可的检验员出具一份检验报告。关于保险公司或航运公司责任的索赔将不被卖方考虑在内。 10. 10.Force Majeure: If shipment of the contracted goods is prevented or delayed in whole or in part due to Force Majeure, the Sellers shall not b
10、e liable for non-shipment or late shipment of the goods under this Contract. However, the Sellers shall notify the Buyers by fax or E-mail and furnish the latter within 15 days by registered airmail with a certificate issued by the China Council for the Promotion of International Trade attesting suc
11、h event or events. 如果合同项下货物由于不可抗力而造成部分或者全部没有或延迟装运,卖方不负赔偿责任或迟交本合同项下货物。然而,卖方应通过传真或邮件通知买方，并在15天内通过航空挂号邮件的方式把由中国国际贸易促进委员会出具的证书证明这样的事件或事件。 11. 11. Arbitration: All disputes arising out of the performance of or relating to this Contract shall be settled amicably through negotiation. In case no settlement
12、can be reached through negotiation, the case shall then be submitted to the Foreign Economic and Trade Arbitration Commission of the China Council for the Promotion of International Trade, Beijing, China, for arbitration in accordance with its Rules of Procedure. The award of the arbitration is fina
13、l and binding upon both parties. 所有纠纷引起的或与本合同有关的性能应通过友好协商解决。如果协商不能达成和解,然后,应当提交的对外经济贸易仲裁委员会,中国国际贸易促进委员会,北京,中国,依照其仲裁程序规则。仲裁裁决是终局的,对双方均有约束力。 12. Governing Law: This Contract shall be governed by the United Nations Convention on Contracts for the International Sale of Goods.
