Object1.1 Swedwood hereby buys and the Supplier hereby sells Goods as specified in appendix 1 and the latest applicable IOSMATs (the currently applicable IOSMATs are in appendix 2), free from any right or claim of a third party based on industrial property or other in
3、tellectual property and with all documentation required by the EC regulation REACH (No 1907/2006).在此Swedwood购买的和供货商出售的商品应当符合附录1 和最近的IOSMATs（当今适用的IOSMATs在附录2中有述），应当不受第三方工业产权和知识产权的索赔，不触犯EC规则的文件要求(No 1907/2006)。1.2 If a sample or model of any Good has been provided, the sample or model shall supplement

Adjustments of quantity and time for delivery 交货数量和时间的调整3.1 The Swedwood Buyer may adjust the total quantity of Goods by no more than 20 Percent, except for one of th

Swedwood 停止Malm床的生产。3.2 However, if t
8、he Swedwood Buyer has provided a plan for delivery of Goods in instalments, the Swedwood Buyer may for each instalment adjust the quantity by 20 percent and the date of delivery by two weeks as long as the quantity requirement under 3.1 is met after delivery of the last instalment.然而，如果Swedwood买方对分批

Production line and sample 生产线和样品4.1 Supplier will invest 3 sets of production line, and get sample ready in 3 mont
11、hs after buyer signed the contract.供货商将会投产3条生产线，在签订合同三个月内准备好样品。4.2 Sample should be passed by IKEA certified lab.样品须通过IKEA指定的实验室测定。5. Term of Delivery etc 交货术语等5.1 Each Purchase Agreement shall contain a relevant delivery term according to Incoterms 2000.每个购买合同根据Incoterms 2000应当包括一个相关的交货术语。5.2 The S
12、wedwood Buyer may choose the carrier of the Goods by written notice to the Supplier no later than 3 weeks prior to the transportation, if the chosen carrier uses means of transportation that are appropriate in the circumstances and contracts on usual terms for such transportation. Swedwood 买方选择承运人 ，
13、应提前三周书面通知供货商，所选承运人应当使用正确的惯用运输术语。5.3 If delivery shall take place before the Goods are transported and if it is apparent e.g. by reference to Swedwoods contract with a carrier that the Supplier shall arrange the transportation of the Goods, the Supplier shall make such arrangements that the Goods can
14、 be delivered in accordance with the Agreement.参照Swedwood与承运人的合同，如果交货先于运输，供货商应当安排好过物的运输，保证依照合同能够准时交付。6. Notice of Failure to Perform 未履行通知6.1 If the Supplier has reason to believe that it will fail or has failed to perform any of its obligations, the Supplier shall immediately give the Swedwood Buye
15、r notice of the failure. If notice is not given, the Supplier shall, in addition to its liabilities under 6.1 and 7.4, be liable for all damages that the Swedwood Buyer could have mitigated if notice had been given. 如果供应商不能或未能履行其任何义务，供应商应立即通知Swedwood买方。如果没有得到通知，供应商还应承担6.1和7.4下所有损失。如果得到通知，该Swedwood买家

Late delivery 迟交货7.1 If there is delay in delivery of any Goods, the Swedwood Buyer may claim liquidated damages equal to 1 percent of the price of those Goods for each commenced day of delay. 如果有迟延交付货物，在Swedwood买家可以要求支付违约赔偿金（以每个开始天计算商品价格的1%）。 7.2 If delivery shall take place before the
17、 Goods are transported and if the reason for the delay is that the carrier has not collected the Goods on time, the Supplier is liable under 6.1 if it shall make arrangement for the transportation of the Goods and cannot show that it has performed its obligations under 4.3. 若交付先于货物运输，如果延误的原因是，承运人未能按

Examination of the Goods, Lack of Conformity and Notice of Lack of Conformity 检查货物，不合格品和不合格品通知8.1 The Swedwood Buyer is not required to examine the Goods after arrival. The Swedwood Buyer does not loose the right to rely on a lack of conformi
19、ty as long as the Swedwood Buyer gives notice of it within two weeks after it was discovered. Unless otherwise shown, the lack of conformity is first discovered when the Swedwood Buyer has received notice of it from its customer. 20、货物不合格通知。 8.2 If Goods do not conform with the specification or with what the Swedwood Buyer otherwise is entitled to expect under the contract, the Supplier shall at its own expense and risk remedy the lack of conformity by delivery of substitute goods, unless the Supplier can show that the lack of
21、conformity is due to events at the risk of the Swedwood Buyer. 如果货物不符合规格或商品不如Swedwood买家合同中预期的那样，供应商应自行负担费用和换货费用，除非供应商能够证明商品的不合格是由买方造成的。 8.3 If the Supplier shall deliver substitute goods in accordance with 7.2, the Swedwood Buyer may instead if such a declaration is given together with the notice of
22、 the lack of conformity avoid the Agreement as regards to all non-conforming Goods. 如果供应商按照条款7.2换货，且向Swedwood买家提供了换货声明和不合格通知，Swedwood买家可以撤销相关不合格品的合同。 8.4 The Swedwood Buyer may claim liquidated damages equal to 1 percent of the price of the non-conforming Goods for each commenced day after the date
23、of notification of the non-conformity until the conforming Goods have reached the Swedwood Buyer. The Swedwood Buyer may not claim liquidated damages if the Swedwood Buyer, when notice was given, avoided the Agreement in accordance with 7.3. Liquidated Damages, Avoidance and Damages for late deliveries and non-conforming Goods 货物交付延期和不合格货物的违约赔偿金，撤销和赔偿9.1 Liquidated damages under 6.1 or 7.4 shall in no case exceed in the aggregate 5 percent of the price on which they s

Right to documentation 文件权利 10.1 The Supplier sh

Price, Invoice and Payment 价格，发票和付款 11.1 Every Invoice shall state the contact person of the Swedwood Buyer, the Agreement and instalment number, the quantity of Goods fo

If indicated in appendix 5 or otherwise requested by Swedwood or the Swedwood Buyer, the part of the price that relates to the transport of the Goods shall be specified separatel

30、条款11.1卖方交付货物并开具发票，款项应在Swedwood买家收到发票后45天内支付。 12. Communication 交流 12.1 All communication between the parties shall either be, or be confirmed, in writing. For the purposes of this Agreement, writing includes fax and e-mail. 所有缔约方之间的交流应当以书面形式确认。对于本协定，书面形式包括传真和电子邮件。13. Non-Disclosure and Competition 保
31、密和竞争13.1 A party shall prevent any information about the other party from being disclosed to any third person and may not disclose or otherwise use any information about the other party until at earliest three years after the last delivery under this Agreement. 任何一方应当保证不将信息披露给任何第三方，或着在本协议项下最后交付三年后才可
32、以透漏给第三方使用。13.2 However, a party is free to disclose or otherwise use any information which it can prove 但是，下列情况下一方当事人有权公开或使用相关信息： a) is publicly known or available irrespective of that partys actions; 此信息是是公开的或不涉及另一方活动的;b) was already known by that party prior to it being provided by the other party
33、; or 此信息在第三方提供给自己之前已经得知;或 c) was legitimately disclosed to that party by a third party who was entitled to transfer or disclose the information.此信息是第三方（有权转让或披露有关信息）合法披露该当事人的。13.3 Swedwood and the Swedwood Buyer may always disclose information to other persons, legal or private, in the IKEA Group. Sw
34、edwood和Swedwood买家可以向宜家集团的其他人员，合法团体或个人披露此信息。 13.4 A party may not in any way use or refer to any intellectual property of the other party, including its trademarks or names, without the prior written consent from the other party in each case. Since Swedwood is a part of the IKEA Group of companies, t

Resolution of disputes 争端解决 14.1 Any dispute, controversy or claim arising out of or in connection with this Agreement, or the breach, termination or invalidity
36、thereof, shall be finally settled by arbitration in accordance with the Arbitration Rules of the Arbitration Institute of the Stockholm Chamber of Commerce.此协议下的任何争端，争议或索赔，或者协议终止或无效，应按照仲裁院斯德哥尔摩商会的仲裁规则进行最终仲裁解决。14.2 The arbitral tribunal shall be composed of a sole arbitrator or if requested by one of
37、 the party in the initiation of proceedings and if the value of the relief sought exceeds EUR 500 000 by 3 arbitrators. 如果一方提起是诉讼且寻求救济的价值超过500，000欧元，仲裁法庭应由一名独任仲裁员或或者3名仲裁员组成。14.3 The seat of arbitration shall be Stockholm, Sweden. 仲裁所在地：瑞典 斯德哥尔摩14.4 The language to be used in the arbitral proceedings

40、Appendix 3IWAY COMPLIANCE COMMITMENT1. General Requirements1.1 Vendor undertakes to at all times comply with all relevant local, national and international laws, regulations and provisions applicable in the country of production, and any additional requirement as stated in this section 1 which may g
41、o beyond such laws, conventions, regulations and provisions.1.2 Vendor hereby recognises the right of the Child (defined as a person younger than fifteen (15) years of age or, as an exception, fourteen (14) years of age in countries covered by article 2.4 in the International Labour Organisation Con
42、vention No. 138) to be protected from economic exploitation and from performing any work that is likely to be hazardous or to interfere with the Childs education, or to be harmful to the Childs health or physical, mental, spiritual, moral or social development according to the United Nations Convent
43、ion on the Rights of the Child Article 32.1, and undertakes to act in accordance with the best interests of the Child in all Vendors activities. Minimum age for admission to any type of employment or work which by its nature or the circumstances in which it is carried out is likely to jeopardise the
44、 health, safety or moral of young persons shall not be less than eighteen (18) years. Vendor shall maintain documentation verifying date of birth for each employee or other worker.1.3 Vendor shall not make use of forced (defined as all work or service performed under any threat of punishment or conf
45、iscation of any personal belongings, or work which is not performed voluntarily), imprisoned or bonded (physically or financially) labour. If guest workers or temporary labour are employed on a contractual basis, such workers shall never be required to remain employed against their own will, for any
46、 period beyond the agreed time of the contract. Vendor shall solely pay all commissions and other fees to any recruitment agency in connection to the employment.1.4 Vendor shall effectively communicate to all its sub-suppliers, as well as to its own co-workers, the content of the IWAY Standard, and ensure that all measures required are implemented accordingly. Vendor shall at all times keep Swedwood/IKEA informed about the location of the production
