2、rs and the Sellers, whereby the Buyers agree to buy and the Seller agree to sell the under-mentioned commodity according to the terms and conditions stipulated below: 1. 商品名称、规格、数量和单价 COMMODITY. 3、RES: 4. 包装 PACKING: 货物包装在适于长途运输的木箱内, 要防潮, 防碰撞, 防腐蚀及野蛮装运。由于卖方不适当包装原因而造成的货损, 生锈等损害, 卖方应当负责。 To be packed in new strong wooden case(s) suitable for long distance ocean transportation and well protected against dampness, moisture, shock, rust and rough handling. The Sellers shall be liable for any rust,
4、 damage and loss attributable to inadequate or improper protective measures taken by the Sellers in regard to the packing. 如货物使用木质包装，卖方应将表皮剥落并随运输单据向买方提交一份卖方国家有关动植物检验检疫部门签发的熏蒸证明，表明包装已经过热处理或熏蒸处理。包装箱上应显著标明处理的方式、地点和处理机构的名称代码。 如货物采用非木质包装，卖方应向买方提供非木质包装证明，表明未使用木质材料包括相应的办法。如有必要，卖方应提前将上述证明提交买方。 In case the g
5、oods are packed in wooden case(s), the Seller shall remove the cortex and submit to the Buyer together with the shipping documents , a fumigation quarantine certificate issued by competent official plant and animal quarantine authority of Sellers county proving that heat treatment or fumigation trea
6、tment has been carried out. The package shall be conspicuously marked with the treatment measure, place, and name or code of the institution that carried out the treatment. In case the goods are packed in non-wooden case(s), the Seller shall provide to the Buyer a written statement certifying that t
7、he non-wooden material was used including the correspondence way. If necessary, the Sellers shall send the Buyers the a.m certificates by courier (express) in advance. 5.唛头： SHIPPING MARK: 在每个包装箱表面上, 应注明箱号, 体积, 毛重, 净重和如下字句: “此面向上”、“小心轻放”、“保持干燥”等, 搬运点及唛头也应由不褪色漆注明。 On the surface of each package, the
8、package number, measurement, gross weight, net weight and the wordings “RIGHT SIDE UP”, “HANDEL WITH CARE”, “KEEP DRY”, the lifting position and the above shipping mark shall be stenciled with fadeless paint. 6.装运期： TIME OF SHIPMENT: 7.装运港： PORT OF SHIPMENT: 8.目的港 PORT OF DESTINATION: 9.保险： INSURANC
9、E: FOB和CFR条件下：装运后由买方负责投保。 In case of FOB of CFR condition: the buyers shall cover the insurance after shipment. CIF条件下：由卖方按发票金额的110%投保一切险。 In case of CIF conditions: the sellers shall cover the insurance for 110% of the invoice value against all risks. 10. 付款条件： PAYMENT: for/by 信用证条件下：买方在收到第12条规定的卖方
10、装船通知后，装运期15-20天前，通过中国银行北京分行开出以卖方为受益人的不可撤消的信用证，金额为装运货物的总价。凭开证行开出的汇票和第11条规定的装船单据支付。信用证的有效期为装船后15天。 In case by L/C: The Buyers, upon receipt from the Sellers of the shipping advice specified in Article 12 hereof, shall open an irrevocable Letter of Credit with the Bank of China Beijing Branch, 15-20 da
11、ys prior to the date of delivery, in favor of the Sellers for an amount equivalent to the total value of the shipment. The Credit shall be payable against the presentation of the draft drawn on opening bank and the shipping documents specified in Clause 11 hereof. The Letter of Credit shall be valid
12、 until the 15th day after the shipment is effected. 托收条件下：在装运后，卖方通过卖方银行将第11条规定的装船单据提交中国银行北京分行，向买方收取货款。 In case by Collection: After delivery is made, the Sellers shall send the shipping documents specified in Clause 11 hereof from the Sellers bank, through the Bank of China, Beijing Branch to the Bu
13、yers for collection. 信汇或电汇条件下：在收到第11条规定的装船单据7天内付款。 In case by M/T or T/T: Payment shall be effected not later than seven days after receipt of the shipping documents specified under Clause 11 of this Contract. 11. 单据： DOCUMENTS: 海运条件下： In case of sea-freight: 全套清洁已装船海运提单，注明“运费到付”或“运费已付”，空白背 书，并且通知买方
14、； Full set of clean on board ocean bills of lading marked “Freight to Collect” or “Freight Prepaid” made out to order bland endorsed notifying the Buyer; 空运条件下： In case of air-freight： 两份空运提单，注明“运费到付”或“运费已付”； Two copies of airway bill marked “Freight to Collect” or “Freight Prepaid” to the Buyers; 空
15、运邮包条件下： In case of air parcel post: 向买方提供的两份邮包收据； Two copies of air parcel post receipt addressed to the Buyers； 内陆运输条件下： In case of overland transportation: 向买方提供两份铁路运输单据，注明“运费到付”或“运费已付”。 Two copies of railway bill marked “Freight to Collect” or “Freight Prepaid” addressed to the Buyers. 5份发票，注明合同号
16、和唛头，根据相关合同注明货物详细情况。 Invoice in five copies indicating contract number and shipping mark (in case of more than one shipping mark, the invoice shall be issued separately), made out in detail as per the relative contract. 卖方出具的5份箱单。 Packing list in 5 copies issued by the Sellers. 制造商出具的质量证明。 Certificat
17、e of Quality issued by the Manufactures. 本合同第12条第3项规定的保险单 Insurance Policy/Certificate as stipulated in item (3) a. of clause 12 of this Contract. 在装货后立即以电报或信件的复印件的形式通知买方装货的详细情况。而且卖方在装船后10天内，空邮三份上述单据。 Copy of cable/letter to the Buyers advising particulars of shipment immediately after shipment is m

In addition the Sellers, within 10 days after shipment, send by airmail three extra sets of the aforesaid documents (except item (6), one set directly to the Buyers and two sets directly to China National Foreign Trade Transportation Corporation at the port of destination). 12.装运条款： TERMS OF SH
19、IPMENT: FOB条件下： In case of FOB terms: a.卖方在合同规定的装运期前60天，以电报或信函的方式通知买方合同号、商品、数量、价值、件数、毛重、体积和在装运港的备货期以便买方订舱。如果包装在重量上超过20吨，长超过10米，宽超过34米和高超过3米，卖方在发货前50天，应提供买方5份外包装图纸，注明具体尺寸和重量，以便买方安排运输。 The Sellers shall, 60 days before the date of shipment in the Contract, advise the Buyers, by cable/letter of the Con
20、tract No., commodity, quantity, value, number of package, gross weight, measurement and date of readiness at the port of shipment for the Buyers to book shipping space. Should any package reach of exceed 20 ton in weight, 10 meters in length, 34 meters in width and 3 meters in height, the Sellers sh
21、all provide the Buyers with 5 copies of drawing for external packing indicating detailed measurement and weight, 50 days before dispatch of the goods in order to enable the Buyers to arrange transportation. b.由买方的运输代理负责订舱。 Booking of shipping space shall be attended to by the Buyers Shipping Agents
22、Messrs. c.买方的运输代理应在船舶抵达装运港的预计日期前10天，通知卖方船名、预计装船日期和合同号，以便卖方安排装运。卖方应和运输代理保持密切联系。当需要改变承运船或在船舶提前或推迟到达时，买方或运输代理应及时通知卖方。如果船舶迟于买方通知的日期30天到达装运港，买方应承担从第31天起的储存费和保险费。 Buyers shipping agents (or liners agents) shall send to the Sellers 10 days before the estimated date of arrival of the vessel at the port of s
23、hipment, a preliminary notice indicating the name of vessel, estimated date of loading, Contract No. for the Sellers to arrange shipment. The Sellers are requested to get in close contact with the shipping agents. When it becomes necessary to change the carrying vessel or in case of her arrival havi
24、ng to be advanced or delayed, the Buyers or the shipping agents shall advise the Sellers in time. Should the vessel fail to arrive at the port of loading within 30 days after the arrival date advised by the Buyers, the Buyers shall bear the storage and insurance expenses incurred from the 31st day.
25、d.在承运船按时到港后，如果卖方没能备好货，卖方应支付滞期的空舱费。 The Sellers shall be liable for any dead freight of demurrage, should it happen that they have failed to have the commodity ready for loading after the carrying vessel has arrived the port of shipment on time. e.卖方应负责货物在越过船舷，从吊钩放下之前的所有费用、风险。在货物越过船舷，从吊钩放下之后的费用由买方负责。
26、 The Sellers shall bear all expenses, risks of commodity before it passes over the rail of the vessel and is released from the tackle. After it has passed over the rail of the vessel and been released from the tackle, all expense of the commodity shall be for the Buyers account. CFR条件下： In case of C
27、FR terms: a.卖方应在装运期内把货物从装运港运至目的港。运送合同货物的船只不应悬挂买方不接受的国家的旗帜。 The Sellers shall ship the goods within the shipment time from the port of shipment to the port of destination. Transshipment is not allowed. A vessel flying the flag of the country that the Buyers can not accept shall not carry the contract
28、ed goods. b.在货物以邮包邮寄或空运的情况下，卖方应在第六条规定的装运期前30天，以电报或信函的方式通知买方预计交货期、合同号、商品、发票金额等。在发运货物后，卖方应立即以电报或信函的方式通知买方合同号、商品、发票金额及发运期，以便买方及时办理保险。 In case the goods are to be dispatched by parcel post/air-freight, the Sellers shall, 30 days before the time of delivery as stipulated in Clause 6, inform the Buyers by
29、 cable or letter of the estimated date of delivery, Contract No., commodity, invoiced value, etc. The Sellers shall, immediately after dispatch of the goods, advise the Buyers by cable/letter of the Contract No., commodity, invoiced value and date of dispatch for the Buyers to arrange insurance in t
30、ime. CIF条件下： In case of CIF terms: a.卖方有责任选择一个在海运/陆运/空运/空运邮包保险方面有良好信用政策的保险公司，让买方得到对其有利的保单。卖方负责按发票金额的110%投保，并可在北京索赔。投保战争险或包括偷窃提货不着险的所有保险，破碎险、泄漏险并注明“在目的港遇有货损货差, 由商检局负责在港口检验”。 It shall be the duty of the Sellers of procure at the Sellers own cost from an Insurance company of good repute a policy of mar
31、ine/overland transportation/air freight/air parcel post insurance, evidencing a valid and subsisting Contract which shall be available for the benefit of the Buyers, covering the goods during the whole of the course of transit contemplated in this Contract, including customary transshipment, if any,
32、 insurance policy/Certificate shall be for 110% of the invoice value, showing claims payable at Beijing, covering War Risk and All Risks including TPND. Breakage and Leakage irrespective of percentage and indicating “In the event of loss or damage, request for survey upon arrival of the goods at the
33、 port of destination shall be made to the China Commodity Inspection Bureau of that port.” b.卖方应在装运时间内, 将货物由起运港运至目的港, 不允许转运。运送合同货物的船只不应悬挂买方不接受的国家的旗帜。 The Sellers shall ship the goods within the shipment time from the port of shipment to the port of destination. Transshipment is not allowed. The Cont
34、ract goods shall not be carried a vessel flying the flag of the country which the Buyers can not accept. c.在商品邮包速遣/空运的条件下：卖方将在条款6规定的运输时间的前30天以电报/信件的形式通知买方预计运输时间、合同号、商品、发票金额等。 In case the goods are to be dispatched by parcel post /airfreight, the Sellers shall, 30 days before the time of delivery as
35、stipulated in Clause 6, inform the Buyers by cable/letter of the estimated date of delivery, Contract No., commodity, invoiced value etc. 13.装船通知： SHIPPING ADVICE: 卖方在备好货后, 电报(或传真)通知买方合同号、品名、 数量、毛重、发票金额、船名和船期。 如果箱子的重量超过9吨、宽超过3400mm、两边的高度超过2350mm, 卖方应通知买方每个箱子的重量和体积。如果由于卖方没能及时发电报，至使买方没能及时办理保险，所有损失由卖方承
36、担。 The Sellers, immediately upon the completion of the commodity, shall notify by cable the Buyers of the contract number, name of commodity, quantity, gross weight, invoiced value, name of carrying vessel and date of sailing. If any package of which the weight is above 9 metric tons, width over 340
37、0mm or height on both sides over 2350mm, the Sellers shall advise the Buyers of the weight and measurement of each package. In case the Buyers fail to arrange insurance in time due to the Sellers not having cabled in time, all losses shall be borne by the Sellers. 14.技术文件： TECHNICAL DOCUMENT: 一全套英文书
38、写的技术单据附在每批货里 One complete set of the following technical documents written in English shall be packed and dispatched together with each consignment: a.地基图 Foundation drawings b.线路说明 Wiring instructions, diagrams of electrical connections and/or pneumatic hydraulic connections c.易损件的说明及图表 Manufacturi
39、ng drawings of easily worn parts and instructions d.备件图 Spare parts catalogues e.质量证明 Quality certificate as stipulated in Item (1) of Clause 16 f.操作及维修保养手册 Erection, operation, maintenance instruction books. 卖方应在签订合同 月内给买方空寄一份有关技术单据中项目1)中a)、 b)、c)及f)节的分类文件。 The Sellers shall in addition send to the
40、 Buyers by airmail the respective we technical documents as stipulated in paragraphs a). b). c). and f) of Item (1) of this Claude within . months after signing this Contract. 15.质量保证： GUARANTEE OF QUALITY: 卖方保证货物是由最好的材料生产、具有一流的工艺、确保全新未使用过并符合合同所要求的质量性能等标准, 卖方应保证货物在正常的安装操作及保养情况下, 自验收后, 正常工作12个月或者货物到达
41、港口后24个月, 两者以先发生为准。 The Sellers shall guarantee that the commodity is made of the best materials, with first class workmanship, brand new unused and complies in all respects with the quality, specifications and performance as stipulated in this Contract. The Sellers shall guarantee that the goods, wh
42、en correctly mounted and properly operated and maintained, shall give satisfactory performance for a period of 12 months counting from the date of acceptance of the Contract equipment or not later that 24 months counting from the arrival date of the last shipment whichever is earlier. 16.检验： INSPECT
43、ION: 厂商应在发货前, 就商品的质量、规格、数量、重量按合同所规定的要求进行准确、全面的检验。 检验证明将视为单据中不可分割的一部分, 并提交付款行进行议付; 但不作为对数量、质量及规格的最后检验。 检验结果及详细情节应列在质量证明中。 The manufactures shall, before making delivery, make a precise and comprehensive inspection of the goods as regards the quality, specifications performance and quantity/weight, an
44、d issue certificates certifying that goods are conformity with the stipulation of this Contract. The certificate shall form an integral part of the documents to be presented to the paying bank for negotiation of payment, but shall not be considered as final in respect of quality, specification, perf
45、ormance and quantity/weight. Particulars and results of the test carried out by the manufacturers must be shown in a statement that has to be attached to the Quality Certificate. ( 2 )货物到达目的港后，买方将要请中国商检局进行质量规格方面的检验，并出具商检报告。如商检局对货物的规格数量提出异议，除去保险公司及运输公司责任以外，买方将在货物到达合同工厂后90天内，有权拒收货物向卖方索赔。 After arrival
46、 of the goods at the port of destination, the Buyers shall apply to the China Commodity Inspection Bureau (hereinafter called the Bureau) for a preliminary inspection in respect of the quality, specifications and quantity/weight of the goods and a Survey Report shall be issued therefore. If discrepa
47、ncies are found by the Bureau regarding specification or the quantity or the both , except when the responsibilities lie with insurance company or shipping company. The Buyers shall, within 90 days after arrival of the Customers site,have the right to reject the goods or to claim against the Sellers. (3) 如果货物的质量或规格与合同不符，或者货物在合同15条规定的期限内发生损坏，包括内在或使用不适当的原材料，买方将要由商检局出具报告，依据商检报告向卖方索赔。 Should the quality and specification of the goods be not in conformity with the contract, or should the goods prove defective within the guarantee period stipulated in Clause 15 for any reason,
